5、中华人民共和国外资保险公司管理条例（2001年12月12日中华人民共和国国务院令第336号公布根据2013年5月30日国务院关于修改中华人民共和国外资保险公司管理条例的决定第一次修订根据2016年2月6日国务院关于修改部分行政法规的决定第二次修订根据2019年9月30日国务院关于修改中华人民共和国外资保险公司管理条例和中华人民共和国外资银行管理条例的决定第三次修订）Article1ThisRegulationisdevelopedforthepurposesofsatisfyingtherequirementsofChinasopeningupandeconomicdevelopment,st

6、rengtheningandimprovingthesupervisionandadministrationofforeign-fundedinsurancecompanies,andpromotingthesounddevelopmentoftheinsuranceindustry.Article2ForthepurposesofthisRegulation,foreign-fundedinsurancecompanies”meansthefollowinginsurancecompaniesformeduponapprovalandoperatingwithinChinainaccorda

7、ncewiththerelevantlawsandadministrativeregulationsofthePeoplesRepublicofChina:(1) InsurancecompaniesformedwithinChinabyforeigninsurancecompaniesandChinesecompaniesorenterprisesintheformofequityjointventures(hereinafterreferredtoas“equityjointventureinsurancecompanies).(2) Insurancecompaniesformedwit

8、hinChinabyforeigninsurancecompanieswithforeigncapital(hereinafterreferredtoas“whollyfbreign-ownedinsurancecompanies).(3) BrancheswithinChinaofforeigninsurancecompanies(hereinafterreferredtoasttbranchesofforeigninsurancecompanies).Article 3 Foreign-fundedinsurancecompaniesmustabidebythelawsandregulat

9、ionsofChina,andmaynotdamagethepublicinterestofChina.第一条为了适应对外开放和经济发展的需要，加强和完善对外资保险公司的监督管理，促进保险业的健康发展，制定本条例。第二条本条例所称外资保险公司，是指依照中华人民共和国有关法律、行政法规的规定，经批准在中国境内设立和营业的下列保险公司：（一）外国保险公司同中国的公司、企业在中国境内合资经营的保险公司（以下简称合资保险公司）；（二）外国保险公司在中国境内投资经营的外国资本保险公司（以下简称独资保险公司）；（三）外国保险公司在中国境内的分公司（以下简称外国保险公司分公司）。第三条外资保险公司必须遵守中

10、国法律、法规，不得损害中国的社会公共利益。Thelawfuloperationsandlegalrightsandinterestsofforeign-fundedinsurancecompaniesshallbeprotectedbythelawsofChina.Article 4 TheinsuranceregulatoryauthorityoftheStateCouncilshallberesponsibleforthesupe,isionandadministrationofforeign-fundedinsurancecompanies.Thelocalofficesoftheins

11、uranceregulatoryauthorityoftheStaleCouncilshall,asauthorizedbytheinsuranceregulatoryauthorityoftheStateCouncil,conducttheroutinesupervisionandadministrationofforeign-fundedinsurancecompanieswithintheirrespectivejurisdictions.ChapterIIFormationandRegistrationArticle 5 Theformationofaforeign-fundedins

12、urancecompanyshallbesubjecttotheapprovaloftheinsuranceregulatoryauthorityoftheStateCouncil.Theregionswhereforeign-fundedinsurancecompaniesmaybeformedshallbedeterminedbytheinsuranceregulatoryauthorityoftheStateCouncilaccordingtotherelevantprovisions.Article 6 Fortheformationofforeign-fundedinsurancec

13、ompaniesengaginginpersonalinsuranceandforeign-fundedinsurancecompaniesengaginginpropertyinsurance,theformofbusinessandtheproportionofforeigninvestmentshallbedeterminedbytheinsuranceregulalorj,authorityoftheSlateCouncilaccordingtotherelevantprovisions.外资保险公司的正当业务活动和合法权益受中国法律保护。第四条国务院保险监督管理机构负责对外资保险公司

14、实施监督管理。国务院保险监督管理机构的派出机构根据国务院保险监督管理机构的授权，对本辖区的外资保险公司进行日常监督管理。第二章设立与登记第五条设立外资保险公司，应当经国务院保险监督管理机构批准。设立外资保险公司的地区，由国务院保险监督管理机构按照有关规定确定。第六条设立经营人身保险业务的外资保险公司和经营财产保险业务的外资保险公司，其设立形式、外资比例由国务院保险监督管理机构按照有关规定确定。Article 7 Theminimumregisteredcapitalofanequityjointventureinsurancecompanyorawhollyforeign-ownedinsur

15、ancecompanyshallbe200millionyuanoranequivalentinfreelyconvertiblecurrencies,andmustbepaid-inmonetarycapital.Theheadofficeofaforeigninsurancecompanyshallgrantnotlessthan200millionyuanoranequivalentinfreelyconvertiblecurrenciestoabranchoftheforeigninsurancecompanyasworkingcapital.Theinsuranceregulator

16、yauthorityoftheStateCouncilmay,accordingtothescopeandscaleofbusinessofaforeign-fundedinsurancecompany,raisetheminimumamountoftheregisteredcapitalorworkingcapitaloftheforeign-fundedinsurancecompanies.Article 8 Toapplyfortheformationofaforeign-fundedinsurancecompany,aforeigninsurancecompanyshallmeetth

17、efollowingconditions:(1) ItstotalassetsattheendoftheyearbeforeitsapplicationfortheformationisfiledwerenotlessthanfivebillionU.S.dollars.(2) Thecountryorregionwhereitislocatedhasasoundinsuranceregulationsystem,anditisundertheeffectiveregulationbythecompetentauthoritiesofthecountryorregionwhereitisloc

18、ated.第七条合资保险公司、独资保险公司的注册资本最低限额为2亿元人民币或者等值的自由兑换货币；其注册资本最低限额必须为实缴货币资本。外国保险公司分公司应当由其总公司无偿拨给不少于2亿元人民币或者等值的自由兑换货币的营运资金。国务院保险监督管理机构根据外资保险公司业务范围、经营规模，可以提高前两款规定的外资保险公司注册资本或者营运资金的最低限额。第八条申请设立外资保险公司的外国保险公司，应当具备下列条件：（一）提出设立申请前1年年末总资产不少于50亿美元；（二）所在国家或者地区有完善的保险监管制度，并且该外国保险公司已经受到所在国家或者地区有关主管当局的有效监管；(3) Itsatisfie

20、ntshallfileawrittenapplicationwiththeinsuranceregulatoryauthorityoftheStateCouncil,andsubmitthefollowingmaterials:(1) Awrittenapplicationsignedbythelegalrepresentativeoftheapplicant,orifanequityjointventureinsurancecompanyistobeformed,awrittenapplicationsignedbythelegalrepresentativesofalltheparties

21、totheequityjointventure.(2) Thebusinesslicense(duplicate)ofaforeignapplicant,acertificateonitssatisfactionofthesolvencystandards,andanopiniononitsapplicationissuedbythecompetentauthoritiesofthecountryorregionwheretheforeignapplicantislocated.(3) Thebylawsofaforeignapplicantanditsannualreportsforthel

22、astthreeyears.(4) MaterialsonaChineseapplicantifanequityjointventureinsurancecompanyistobeformed.（三）符合所在国家或者地区偿付能力标准；（四）所在国家或者地区有关主管当局同意其申请；（五）国务院保险监督管理机构规定的其他审慎性条件。第九条设立外资保险公司，申请人应当向国务院保险监督管理机构提出书面申请，并提交下列资料：（一）申请人法定代表人签署的申请书，其中设立合资保险公司的，申请书由合资各方法定代表人共同签署；（二）外国申请人所在国家或者地区有关主管当局核发的营业执照（副本）、对其符合偿付能力标

23、准的证明及对其申请的意见书；（三）外国申请人的公司章程、最近3年的年报；（四）设立合资保险公司的，中国申请人的有关资料；(5) Afeasibilitystudyreportandaformationpreparationplanforthecompanytobeformed.(6) Thenames,resumes,andcertificatesofsatisfactionofofficequalificationsofthepersonsinchargeofthepreparationsfortheformationofthecompany.(7) Othermaterialsasseto

24、utbytheinsuranceregulatoryauthorityoftheStateCouncil.Article 10 TheinsuranceregulatoryauthorityoftheStateCouncilshallconductapreliminaryexaminationofanapplicationforformingaforeign-fundedinsurancecompany,andwithinsixmonthsofreceiptofcompleteapplicationdocuments,decidewhethertoacceptorrejecttheapplic

25、ation.Ifitdecidestoaccepttheapplication,itshallissueaformalapplicationfbntotheapplicant;otherwise,itshallinformtheapplicantinwritingofitsrejectionwithanexplanationofthereasonsfortherejection.Article 11 Theapplicantshallcompletetheformationpreparationswithinoneyearofreceiptoftheformalapplicationfon;a

26、ndtheperiodmaybeextendedbythreemonthswith(heapprovaloftheinsuranceregulatorj,authorityoftheStateCounciliftheformationpreparationsarenotcompletedwithintheperiodforagoodreason.Ifitstillfailstocompletetheformationpreparationswithintheextension,thedecisionoftheinsuranceregulatoryauthorityoftheStateCounc

27、iltoaccepttheapplicationshallbeinvalidatedautomatically.Afterthecompletionoftheformationpreparations,theapplicantshallsubmitthecompleted（五）拟设公司的可行性研究报告及筹建方案：（六）拟设公司的筹建负责人员名单、简历和任职资格证明；（七）国务院保险监督管理机构规定提供的其他资料。第十条国务院保险监督管理机构应当对设立外资保险公司的申请进行初步审查，自收到完整的申请文件之日起6个月内作出受理或者不受理的决定。决定受理的，发给正式申请表；决定不受理的，应当书面通知

28、申请人并说明理由。第i一条申请人应当自接到正式申请表之日起1年内完成筹建工作；在规定的期限内未完成筹建工作，有正当理由的，经国务院保险监督管理机构批准，可以延长3个月。在延长期内仍未完成筹建工作的，国务院保险监督管理机构作出的受理决定自动失效。筹建工作完成后，申请人应当将填写好的申请表连同下列文件报国务院保险监督管理机构审批：applicationform,alongwiththefollowingdocuments,totheinsuranceregulatoryauthorityoftheStateCouncilforapproval:(I)Areportonformationprepar

29、ations.(2) Thebylawsofthecompanytobefoed.(3) Theinvestorsofandtheiramountsofcontributiontothecompanytobeformed.(4) Acertificationofcapitalverificationissuedbyastatutorycapitalverificationinstitution.(5) Apowerofattorneyissuedtotheprimarypersoninchargeofthecompanytobeformed.(6) Thenames,resumes,andce

30、rtificatesofsatisfactionofofficequalificationsoftheseniorexecutivesofthecompanytobeformed.(7) Businessplansandreinsuranceschemesofthecompanytobeformedforthefuturethreeyears.(8) Theinsuranceclauses,alistofpremiumrates,andanexplanationonthecalculationofliabilityreservesforthetypesofinsuranceprovidedby

31、thecompanytobeformedwithinChina.(9) Materialsonthebusinesspremisesandotherfacilities（一）筹建报告；（二）拟设公司的章程；（三）拟设公司的出资人及其出资额；（四）法定验资机构出具的验资证明；（五）对拟任该公司主要负责人的授权书；（六）拟设公司的高级管理人员名单、简历和任职资格证明；（七）拟设公司未来3年的经营规划和分保方案；（八）拟在中国境内开办保险险种的保险条款、保险费率及责任准备金的计算说明书；（九）拟设公司的营业场所和与业务有关的其他设施的资relatedtotheoperationsofthecompa

32、nytobeformed.料;(10) Ifabranchofaforeigninsurancecompanyistobeformed,aletterofguaranteefromtheheadofficeonitsassumptionofresponsibilityforthetaxesanddebtsofthebranch.(11) Ifanequityjointventureinsurancecompanyistobeformed,thecontractsonthejointventure.(12) Otherdocumentsassetoutbytheinsuranceregulato

33、ryauthorityoftheStateCouncil.Article12TheinsuranceregulatoryauthorityoftheSlateCouncilshall,within60daysofreceiptofthecompleteformalapplicationmaterialsforformingaforeign-fundedinsurancecompany,decidewhethertoapproveordisapprovetheapplication.Inthecaseofapproval,itshallissueapermitforengaginginthein

34、surancebusinesstotheapplicant;orinthecaseofdisapproval,informtheapplicantinwritingofthedecisionwithanexplanationofthereasonsforthedisapproval.Iftheformationofaforeign-fundedinsurancecompanyisapproved,theapplicantshall,onthebasisofthepermitforengagingintheinsurancebusiness,undergoregistrationwiththea

35、dministrativedepartmentforindustryandcommerceandobtainabusinesslicense.Article13Aforeign-fundedinsurancecompanyshall,afteritsformation,setasideadepositattherateof20%ofthetotal（十）设立外国保险公司分公司的，其总公司对该分公司承担税务、债务的责任担保书；（十一）设立合资保险公司的，其合资经营合同；（十二）国务院保险监督管理机构规定提供的其他文件。第十二条国务院保险监督管理机构应当自收到设立外资保险公司完整的正式申请文件之日

36、起60日内，作出批准或者不批准的决定。决定批准的，颁发经营保险业务许可证；决定不批准的，应当书面通知申请人并说明理由。经批准设立外资保险公司的，申请人凭经营保险业务许可证向市场监督管理部门办理登记，领取营业执照。第十三条外资保险公司成立后，应当按照其注册资本或者营运资金总额的20%提取保证金，存入国务院保险amountofregisteredcapitalorworkingcapital,andplacethedepositinabankdesignatedbytheinsuranceregulatoryauthorityoftheStateCouncil.Thedepositmaynotbe

37、usedforanypurposeotherthanrepaymentofdebtsofIheforeign-fundedinsurancecompanyduringitsliquidation.Article14TheformationofbranchofficeswithinChinaofforeign-fundedinsurancecompaniesshallbesubjecttotheapprovaloftheinsuranceregulatoryauthorityoftheStateCouncilaccordingtotherelevantprovisions.ChapterIIIS

38、copeofBusinessArticle15Aforeign-fundedinsurancecompanymay,accordingtothescopeofbusinessaffirmedbytheinsuranceregulatoryauthorityoftheStateCouncil,engageinallorpartofthefollowingtypesofinsurancebusiness:(1) Propertyinsurance,includingbutnotlimitedtopropertylossinsurance,liabilityinsurance,andcreditin

39、surance.(2) Personalinsurance,includingbutnotlimitedtolifeinsurance,healthinsurance,andaccidentalinjur),insurance.Aforeign-fundedinsurancecompanymayengageinlargecommercialriskinsuranceandmasterpolicybusinesswithinthescopeasaffirmedbytheinsuranceregulatoryauthorityoftheStateCouncilaccordingtotherelev

40、antprovisions.监督管理机构指定的银行；保证金除外资保险公司清算时用于清偿债务外，不得动用。第十四条外资保险公司在中国境内设立分支机构，由国务院保险监督管理机构按照有关规定审核批准。第三章业务范围第十五条外资保险公司按照国务院保险监督管理机构核定的业务范围，可以全部或者部分依法经营下列种类的保险业务：（一）财产保险业务，包括财产损失保险、责任保险、信用保险等保险业务；（二）人身保险业务，包括人寿保险、健康保险、意外伤害保险等保险业务。外资保险公司经国务院保险监督管理机构按照有关规定核定，可以在核定的范围内经营大型商业风险保险业务、统括保单保险业务。Article 16 Aforei

42、peofbusiness,territoriesofbusiness,andrangeofclientsofaforeign-fundedinsurancecompanyshallbesubjecttotheaffirmationoftheinsuranceregulatoryauthorityoftheStateCouncilaccordingtotherelevantprovisions,andtheforeign-fundedinsurancecompanymayonlyengageintheinsurancebusinesswithintheaffirmedscope,territor

43、ies,andrange.ChapterIVSupendsionandAdministraHonArticle 19 TheinsuranceregulatoryauthorityoftheSlateCouncilshallhavetheauthoritytoinspecttheoperations,financialcondition,anduseoffundsofforeign-fundedinsurancecompanies,torequireforeign-fundedinsurancecompaniestoproviderelevantdocuments,materials,andw

44、rittenreportsduringaspecifiedperiod,andtopunishandotherwiselegallydealwiththeirviolationsoflawsor第十六条同一外资保险公司不得同时兼营财产保险业务和人身保险业务。第十七条外资保险公司可以依法经营本条例第十五条规定的保险业务的下列再保险业务：（一）分出保险；（二）分入保险。第十八条外资保险公司的具体业务范围、业务地域范围和服务对象范围，由国务院保险监督管理机构按照有关规定核定。外资保险公司只能在核定的范围内从事保险业务活动。第四章监督管理第十九条国务院保险监督管理机构有权检查外资保险公司的业务状况、财

46、inspectionsorconcealanyinformation.Article 20 Aforeign-fundedinsurermaynotconductanypurchaseorsaleofassetsorothertransactionswithitsaffiliatedenterprisesexceptwiththeapprovaloftheinsuranceregulatoryauthorityoftheStateCouncil:ttAffiliatedenterriseasmentionedintheprecedingparagraphmeansanenterprisewhi

47、chhasanyofthefollowingrelationswithaforeign-fundedinsurancecompany:(1) Thereisarelationshipofcontrolintermsofsharesorcontributions.(2) Botharecontrolledbyathirdpartyintermsofsharesorcontributions.(3) Otheraffiliationsintermsofinterests.Article 21 Abranchofaforeigninsurancecompanyshall,withinthreemon

48、thsafterthecompletionofeachfiscalyear,submittotheinsuranceregulatoryauthorityoftheStateCouncilthefinancialaccountingreportsofthebranchandthe外资保险公司应当接受国务院保险监督管理机构依法进行的监督检查，如实提供有关文件、资料和书面报告，不得拒绝、阻碍、隐瞒。第二十条除经国务院保险监督管理机构批准外，外资保险公司不得与其关联企业进行资产买卖或者其他交易。前款所称关联企业，是指与外资保险公司有下列关系之一的企业：（一）在股份、出资方面存在控制关系；（二）在股份、出资方面同为第三人所控制；（三）在利益上具有其他相关联的关系。第二一条外国保险公司分公司应当于每一会计年度终了后3个月内，将该分公司及其总公司上一年度的财务会计报告报送国务院保险监督管理机构，并予公布。headofficeforthepriorye
