21、ge of Dip Test Date (day before Test, Test date, and Date after the Test) as published by McGraw Hill market on board cargo at China Port, less discount of US$3.5 NET TO BUYER Per Barrel.己出运的尼日利亚轻质原油每桶价格为中国口岸油轮检测日期McGraw Hill发表的布兰特(Dated Brent) 价格3天平均(检测前1天, 检测天及检测后1天) 减每桶3.5美元净价给买方。FEE PROTECTION佣金

22、保护 ：As per seprate master fee protection agreement signed with NNPC and Pintus.按与尼日利亚国家石油公司及Pintus签订的佣金保护协议DELIVERY付运：SPOT 2 million barrels delivered cargo CIF Huangdao Port, or CIF Ningbo or CIF other Main Port of China2百万桶CIF中国黄岛港到岸, 或CIF宁波或CIF中国主要港口现货交割Note: After successful transaction of deliv

23、ery at Huangdao Port, this Contract can be extended to deliveries at other ports of China, at written confirmation by both parties.备注：在成功交易黄岛港的现货后，经双方书面确认，本合同可延伸至中国其他港口的现货。DETERMINATION OF QUALITY AND QUANTITY质量和数量确定：Quantity & Quality to be ascertained by an independent Inspector i.e. SGS or CIQ ap

25、准.PAYMENT付款：In U.S Dollars by MT 103 Swift wire transfer payment within 3 - 5 bank days after receipt of all original documents for payment including CIQ Q & Q Reports and transfer of title document.The Buyer must show its fund capability to purchase 2 millions of Nigerian Crude Oil by sending the S

26、eller a Proof of Fund (POF) via MT799 (Verbiage as Appendix A) with face value of US$ Two Hundred Million (US$ 200,000,000). 以美元支付, 买方须在收到整套认付文件包括CIQ品质及数量检定报告及货权转让文件后的3 - 5个银行工作天内以电汇TT/MT103付款。买方需向买家透过发送一张用MT799(样式见附件A)开出面值2億美元的资金证明(POF)去证明有购买2百万桶尼日利亚轻质原油的资金能力。Documents Seller Shall Provide After Re

Authority to Board(or Tank Farm Co-ordinates and Tank Receipts if the Cargo has been Unloaded in Shore Tank of Bonded Tank Farm)登船授权书 (如油已卸货在保税库岸罐, 则提供油罐座标和油罐收据)9. Q88 Documents for Final Payment (Including Do

Sellers Commercial Invoice, One (1) Original

30、and three (3) copies 卖方商业发票, 1份原件及3份副本SPOT CIF HUANGDAO PORT, CIF NINGBO PORT CHINA 现货中国到岸黄岛港或宁波交货：PROCEDURES CIF 到岸价程序：1. Buyer & Seller sign & seal the Contract and exchange the signed copy by electronic mail. The electronically signed copy by both Parties is considered legally binding and enforce

31、able. 买方和卖方签署及盖章合同并以电子邮件交换已签署的拷贝. 经双方电子签署的拷贝被视为受法律约束及强制2. Buyers bank issues a MT 799 (Verbiages see Annex A) as POF covering value of 2 millions after checking POP and tracking the tanker vessels position by swift to the Sellers bank account as authorised / nominated by NNPC. 买方银行开出面值购买2百万桶的MT799 (

32、样式见附件A)作为资金证明(POF), 并swift到卖方经NNPC授权/指定卖方银行帐户3. Sellers Bank sends Buyers bank swift message to confirm receipt of MT799. Sellers Bank shall send full set of POP Documents (i.e. number 1 - 9 in the above list of POP in page 7 and except CIQ Q & Q Reports at Discharge Port) includes Authority to Boar

33、d (or Tank Farm Co-ordinates and Tank Receipts if the cargo has been discharged in shore tank of Bonded Tank Farm) and Dip Test Authority with copies sent directly to Buyers designated email address. Upon positive authentication of the above Documents, the MT799 shall become activated and effective

34、immediately.卖方银行向买方银行用汇函发出MT799确认函。卖方银行向买方银行发送全套原件货权文件(上第7页第1-9号文件, 即卸载港的CIQ质检及量检报告除外), 须包括登船授权书(如油已卸货在保税库岸罐, 则提供油罐座标和油罐收据)和油品检测授权书等。并用电邮把副本发给买方指定的电邮地址。货物文件确认无误后，MT799即时启动、生效。4. Buyer provides/re-confirm name of refinery to receive the oil, destination Port /Tank farm Information to Seller.买方向卖方提供/确

Seller issues the complete set of shipping documents as follows to the buyer in the buyers name to enable the buyer process the cash payment for the cargo after discharge in the buyers farm tank.卖方向买方发出以买方名义装货的如下全套船务文件, 令买方能安排卸货在买方油库后的付款事宜a. Clean on board ocean Bill of Lading 没附

Buyer shall made payments based on Sellers Commercial Invoice by Swift Wire Transfer from Buyers bank to Sellers b

38、ank directly via standard D/P (document against payment) procedures within three five (3 - 5) international banking days after SGS/CIQ Q & Q Reports issued and receipt of all original documents for payment including transfer of title document. Commission shall be paid according to MFPA. 在SGS/CIQ报告发出

39、后, 及买方收到议付文件包括货权转让文件的原件3-5 个国际银行日内,买方按商业发票以标准D/P(交单付款)程序透过卖方/买方银行用电汇支付货款。 佣金按佣金保护协议支付BERTH CHARGES, DUTIES AND TAXES AT DISPORT卸载港的码头费用, 关税及税项：For the vessel deals, the Buyer shall be responsible for all duties and taxes levied on cargo by the authorities of the country of discharge. Title shall pas

40、s from Seller to Buyer when the complete discharge of cargo is made to the Buyer. For the tank farm/warehouse take over, the buyer shall be responsible for all import duties and taxes as well as tank rental after the date the transfer title ownership has been done.如船舶交易, 买方须负责卸载国家当局就船货所征收的所有关税及税项. 当

If parties fail to do so, they shall accept as final the decisions of the court of arbitration of the International Chamber of Commerce

42、, Swiss Law to apply. Expedite procedure format and all proceedings are to be continued in English and shall be settled by arbitration in accordance with the laws of Hong Kong as the case may be.任何就执行此合同所引起的争议需经友好解决. 如双方没法解决, 双方需接受仲裁庭按国际商会, 瑞士法律所作出的最终决定. 促进程序形式和诉讼都要透过英语, 并按香港进行仲裁解决.FORCE MAJEURE不可抗力：Neither party to this agreement shall be responsible for breach of contract caused by acts of God, insurrection, and breakdown of refinery operations or
