1、保密协议Nondisclosure Agreement为防止定义如下的保密信息未经授权的披露，总部位于_ _的_（“披露方”）与 位于_的_“接受方”）签订本保密协议（本“协议”）。双方同意就一定的私有和机密信息（“保密信息”）的披露达成保密关系。This Nondisclosure Agreement (the “Agreement”) is entered into by and between _with its principal offices at _(“Discloser”) and_, located at_ (“Recipient”) for the purpose of p

The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“Confidential Information”).1. 保密信息的定义。 就本协议而言，“保密信息”包括本协议下所有由披露方披露或提供给接

3、受方的书面信息（包括但不限于电子邮件和其他电子形式的文件）、口头信息和材料，无论这些信息是在本协议签订之前还是之后提供给接受方的，也不管这些信息是以何种方式提供给接受方的。1. Definition of Confidential Information. For purposes of this Agreement, “Confidential Information” shall include all written (including, but not limited to email and other documents in electronic format) and ora

4、l information and materials disclosed or provided by the Discloser to the Recipient under this Agreement regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Recipient. 2. 保密义务的排除。 在本协议下，接受方对以下信息不承担保密义务：(a) 并非接受方的过错而在披露之时或之后为公众所知悉的；(b)在披露方披露之

5、前由接受方发现或创造的；(c)并非通过披露方或其代表，而是接受方通过其他合法途径得知的。2. Exclusions from Confidential Information. Recipients obligations under this Agreement do not extend to information that: (a) is publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the Recipient; (b) was di

6、scovered or created by the Recipient before disclosure by Discloser; or (c) is learned by the Recipient through legitimate means other than from the Discloser or Disclosers representatives.3. 接受方的义务。 为了并且仅为了披露方的利益，接受方应保持保密信息绝对保密。接受方披露保密信息的范围仅限于在组织内部向需要知道保密信息的董事、官员、合作伙伴、成员及/或雇员披露，并应当采取积极措施确保被允许接触或使用保

7、密信息的董事、官员、合作伙伴、成员及/或雇员遵守保密义务。未经披露方事先的书面同意，接受方不得公布、复制、或以其他方式披露给第三方或者允许第三方使用任何保密信息。如果披露方提出书面请求，接受方应当立即归还或销毁其拥有的任何和所有的有关保密信息的记录、笔记和其他书写、印刷或有形的材料。3. Obligations of Recipient. Recipient shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the

8、Discloser. Recipient shall limit disclosure of Confidential Information within its own organization to its directors, officers, partners, members and/or employees having a need to know and shall take affirmative measures to ensure compliance with these confidentiality obligations by its directors, o

9、fficers, partners, members and/or employees who are permitted access to or use of the Confidential Information. Recipient shall not, without prior written approval of Discloser, publish, copy, or otherwise disclose to others, or permit the use by others, any Confidential Information. Recipient shall

10、 return to Discloser or destroy any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Discloser requests it in writing.4. 期限。 本协议自签订之日(“生效日”)起生效。接受方对本协议生效日前由披露方披露给其的保密信息也应当按照本协议承担保密义务。任何一方可以在任何时间书面通知另一方终止

11、本协议。本协议中的保密条款在本协议终止后继续有效，接受方继续承担使其持有的保密信息处于保密状态的义务。但无论下列哪种情况首先出现，接受方承担的保密义务将终止：本协议终止后达两年或者披露方书面通知接受方不再受本协议约束。4. Time Periods. This agreement is effective as of the date of signature (“Effective Date”). Recipients obligations under this Agreement extend to the Confidential Information the Discloser d

12、isclosed to the Recipient before the Effective Date. Either party may terminate this Agreement at any time upon written notice to the other party. The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Recipients duty to hold Confidential Information in co

13、nfidence shall remain in effect until two years after the date of the termination of this Agreement or until Discloser sends Recipient written notice releasing Recipient from this Agreement, whichever occurs first.5. 关系。 本协议中的任何内容都不应被认为构成一方是另一方基于任何目的的合伙人、联合经营者或雇员。5. Relationships. Nothing contained

14、in this Agreement shall be deemed to constitute either party a partner, joint venturer or employee of the other party for any purpose.6. 可分割性。 如果本协议的任何条款被法庭认定为无效或无法执行，本协议的其他部分应尽量基于实现双方意图的目的而解释。6. Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder o

15、f this Agreement shall be interpreted so as best to effect the intent of the parties.7. 整体性。 本协议表达了双方关于主题的全部理解，更换并替代所有之前的提议、协定、陈述和理解。除非双方通过签订书面协议的方式，否则本协议不得变更。7. Integration. This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prio

16、r proposals, agreements, representations and understandings. This Agreement may not be amended except in a writing signed by both parties.8. 弃权。 未行使本协议规定的任何一项权利不应被视为对在先及在后权利的放弃。8. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights

17、.9. 适用法律。 本协议依据中国法律制定，并应当依据中国法律解释。在本协议被违反的情况下，一切纠纷将通过北京市内有管辖权的法院解决。9. Governing Law. This Agreement is made under and shall be construed according to the laws of the Peoples Republic of China. In the event that this agreement is breached, any and all disputes must be settled in a court of competent

21、救重要物资，疏散危险区域人员。九、协同本部门或其他部门所进行的各项工作进行记录。保安员值班操作及要求一、交接岗1、每日上午9时和下午 19时 为交接岗。2、交接岗时将当班所接纳物品清点清楚，以及夜班所发生的情况未得到解决的需面汇报。检查值班室内外的卫生状况，地面无纸屑，桌面无杂物，整齐清洁。二、执勤1、7:50 8:10、13：50 14：10立岗迎接上班人员；12:00 12:20 、18:00 18:20立岗送下班人员。2、值勤时做到遇见领导立岗，检查物品立岗，外来人员进出立岗。3、门卫室值勤时，应做到坐姿端正，注视监视器的动态，做好接待工作，值勤期间不看书报电视，听收音机。不与无关人员聊

22、天，劝阻无关人员不要在门卫室寄存物品或打电话，禁止打瞌睡。4、维持门口秩序，使之保持畅通。5、熟记消防，报警，救护及内部联系电话。三、巡逻巡逻是防盗及发现#有不安全因素的重要措施。1、每天按照巡检制度定时轮流巡逻。2、巡逻时思想集中，保持高度警惕，不吸烟，不与无关人员闲聊，并将每一点所发生情况记录清楚，巡逻时做到勤走动，勤思考，勤观察。发现问题及时报告。3、白天加强对观众区、办公区及楼道的巡逻，夜晚以机房为重点进行检查，每晚零点之后巡查不少于两次。四、防火工作1、严格门卫制度，严禁无关人员，将易燃易爆物品带入#。2、发现违反安全规定的电源和火种，应予以切断和熄灭，应报告#领导采取相关措施。3、值勤时发现物质储存，保管不符合防火要求，消防器材移作他用及非正常使用灭火器，应及时阻止，并报告，提请有关部门整改。4、发生火灾先拨打 119 向消防部队报警，并立即报告#领导。报警时简要讲清#地址，电话号码及火情，同时派人在门口接应，引导消防车进入火场，向消防人员介绍水源，总电闸部位等。
