1、沈阳铁西龙之梦商业购物中心冰场合作协议Jinan City DADI Shopping Mall Ice Rink Co-operation Agreement 甲方： 乙方：艾斯特制冷与太阳能技术（北京）有限公司AST Refrigeration and Solar Technology (Beijing) Co., Ltd 为了规范甲乙双方行为，保护双方的合法利益，根据中华人民共和国有关法律、法规规定，甲、乙双方本着自愿、平等、公平、诚实信用的原则，签订本协议。In order to standardize the behavior and protect the legitimate i

2、nterests for both parties, based on voluntary, equality, fairness, honesty and credit principles, Part A and Part B sign this agreement according to the relevant laws and regulations of P.R.C.第一条 合作宗旨Article 1 Co-operation Philosophy甲、乙双方本着互利互惠、共同经营、共同发展的原则，共同投资建设和经营“真冰溜冰场”项目。Base on the principles

3、of mutual benefit and reciprocity, co-operation and co-development, Party A and Party B co-invest, construct and run the project “The Shengyang Tiexi Longzhimeng Real Ice Rink”.第二条 合作项目概况Article 2 Summary to the Co-operation Project1、项目名称：真冰溜冰场项目（以下简称“项目”或“本项目”）。Project Name: The Real Ice Rink Proje

4、ct (hereinafter referred to as “Project” or “This Project”).2、甲乙双方愿意就本项目采用共同投资、建设、运营的合作经营模式。Party A and Party B are willing to take the cooperative operation model on This Project which they co-invest, construct and run the business.3、经过甲乙双方共同审核后的项目总投资额为人民币 万元(大写人民币万元)，包含：。The total invest sum of th

5、e Project is RMB (RMB) after checked by both parties, including the main part of the ice rink which is 1,000 m2 with the investment of RMB4、冰场设计标准：省内高档次的商业中心娱乐型真冰冰场。The Design Standard of Ice Rink: the real ice rink achieving international and top level in the Province.第三条 合作期限Article 3 Co-operation

6、 Term合作期限：自本项目冰场开业之日起合作期限25年，期满后甲乙双方可以续签。Co-operation Term: It lasts 25 years from the opening date of the ice rink in This Project, and the both parties can renew it after expiration.第四条 出资方式和出资方权益Article 4 Ways of Investment and Rights & Interest of Investors1、甲乙双方按照冰场主体部分的投资总额分别出资50%，共同投资万元人民币，建设

7、一个达到省内高档次的商业中心娱乐型真冰溜冰场。Party A and Party B separately invest 50% of the total investment sum of the main part of the ice rink, that is, co-invest RMB to construct a real ice rink which achieves at the international level and top level in Shandong Province.2、出资形式：甲方出资额为万元，以现金方式出资；乙方出资额为万元，以设备出资。Ways

8、of Investment: Party A invests RMBin cash, while Party B invests RMB in ways of the equipments and the construction of the ice rink system. 3、冰场配套的照明灯光和服务区设备及装修共计万元需要根据龙之梦铁西商业购物中心的风格进行单独设计，该项配套投资由甲方投入。In view of the matched lightings and the equipments in service area as well as the decoration fee R

9、MB in total which need to design solely according to the style of The Shengyang Tiexi Longzhimeng shopping mall, this matching investment is invested by Party A.4、冰车的使用寿命为50年，属于甲方的长期固定资产，因此该项配套投资万元也由甲方投入。该冰车保修期为2年，保修期外，该冰车在合作期间的维修费用计入双方组建的“联合管理办公室”的营业运营成本。The working life of the Ice Treatment Machin

10、e is 50 years and it belongs to Party As long-term fixed asset, so this matching investment of RMBis also invested by Party A. The warranty is 2 years. The maintenance fee of the Ice Treatment Machine will be calculated in operation cost of “Ice Rink Joint Management Office of Longzhimeng EuroJoy” a

11、fter warranty expires.5、甲乙双方各拥有本项目50%的权益。甲乙双方按照各50%的权益分享本项目产生的利润。Party A and Party B have the 50% of rights and interests of This Project separately. And both sides share the profits produced by This Project according to their 50% of rights and interests.第五条 特别约定Article 5 Special Appointment1、甲乙双方同意

12、，甲乙双方按照各50%的权益分享本项目产生的收益。Party A and Party B agree that, After the allocation of above output to Party A in priority, both sides share the profits produced from This Project according to their separate 50% rights and interests.2、本项目运营中所产生的物业管理费、租赁费、水电费用计入双方组建的“冰场联合管理办公室”的营业运营成本。甲方保证该项目拿到最优惠的物业管理费。租金

13、按照0.5元/日/平方米计算，甲方保证该租金10年不变，计租面积按照最终施工图纸面积计算。（物业管理费、租赁费、水电费用由双方明确后可做补充协议。The cost of property management, rental, electricity and water cost is calculated in operation cost of “Ice Rink Joint Management Office of Shandong Sunwing Real Estate Co., Ltd”. Party A guarantees to give a preferential prope

14、rty management fee. The rental is calculated as RMB0.5/day/m2. Party A guarantees that the rental fee would not be changed for 10 years. The rental area is calculated according to the final installation drawing. (Both Parties will clarify the property management fee, rental, water and electricity an

15、d water in a Supplementary Agreement).3、本项目将于*年*月*日结构封顶，开业日期初定为*年*月*日（暂定），甲方同意自冰场正式开业之日起两年免收租赁费。鉴于原装进口全新冰车的交货期为6个月，甲乙双方同意，在*年*月*日本协议签署的同时，签订原装进口全新冰车的采购合同。为保证冰场建造质量和工程进度，甲乙双方原则同意，在*年*月*日前甲乙双方签订冰场建造合同。The roof will be closed on *. 17、rganization1、鉴于“银座”的品牌信誉，同时为了降低管理成本，AST集团同意“真冰溜冰场”项目在25年的合作经营期内，无需单独注册中外合资企业，采用直接以奥地利AST集团中国公司“欧悦真冰溜冰场”的名义对外经营，甲乙双方以书面协议的方式组建“项目联合管理办公室”，在当地银行开设上述“真冰溜冰场”专用银行账号，共同运营和管理上述冰场25年。In view of the brand reputation of “Changfeng” and for reducing the management cost, Party A agrees to run the above ice rink

18、 to the public in the name of Party As Shandong Sunwing Real Estate Co., Ltd during the 20 years co-operative operation term directly, without necessary to register a Sino-foreign joint venture separately. And “Ice Rink Joint Management Office of Shandong Sunwing Real Estate Co., Ltd” is co-construc

19、ted by Party A and Party B in the way of written agreement. Both parties open the special A/C No. in the local bank, co-operate and manage the above ice rink for 20 years. If Sunwing Company holds a external responsibility for the rink operation, Sunwing Company has the right to take a responsibilit

20、y on behalf of Joint Mangement Office. If the assets of Joint Management Office is not enough, Sanwe will request both Parties to bear equal responsibility after making up a difference 2、“联合管理办公室”由甲乙双方各委派两名代表组成，为双方合作本项目的最高领导机构。“联合管理办公室”以会议决议的形式行使权利，三分之二以上多数决定本项目的重大事项。“Ice Rink Joint Management Offic

22、 events of This Project.3、“联合管理办公室”是本项目协议下的最高权力机构，决定本项目下有关政策的制订和修改；批准本项目下的财务会计制度；决定本项目转让、合并、停业和解散；决定本项目经营决策、财务预算和决算；决定本项目利润分配和亏损弥补办法；聘请总经理、副总经理和高级管理人员；决定本项目下职工工资和制定职工奖惩办法等一切重大事宜。 “Joint Management Office” is the top authority organization under the agreement of This Project. It decides the working-o

23、ut and the amendment of the relevant policies under This Project, approves the financial and accounting system under This Project, decides the transfer, amalgamation, cessation and dissolution of This Project, decides the operation strategy, the financial budget and auditing of This Project, decides

24、 the means of profit allocation and losses covered, employs General Manager, Vice General Manager and Managing Officers, decides the employees salary and makes up the rewards and punishments rules for employees under This Project and other significant events.4、“联合管理办公室”会议每年至少召开2次。经三分之一以上的代表提议，可召开“联合

25、管理办公室”临时会议。会议记录应归档保存。 It would be held for 2 times for the meeting of “Joint Management Office” per year. If proposed by more than one third of representatives, the temporary meeting of “Joint Management Office” can be held. And the record of the meeting should be filed.5、召开“联合管理办公室”会议须有三分之二以上的代表出席方

26、有效。代表不能出席时，可以出具委托书委托他人代为出席和举行表决。It is valid if more than two thirds of the representatives are present in “Joint Management Office”. If absent, the representative can entrust someone else to be present and vote. 6、“联合管理办公室”设经理部，负责公司的日常经营管理。There is Manager Department in “Joint Management Office”, in

27、 charge of the daily operation management of the company.7、经理部设总经理一人，副总经理一人。总经理由乙方委派；副总经理由甲方委派。There is one General Manager and one Vice General Manager in Manager Department. General Manager is recommended by Party A, and Vice General Manager who should be special operation manager is recommended b

General Manager and Vice General Manager are both employed by Joint Management Office.8、财务部由两人组成，其中甲方委派会计，乙方委派出纳。Financial Department consists of two persons, hereinto, Party A appoints an accountant and Party B appoints a cashier.9、总经理的职责是执行“联合管理办公室”会议的决议，组织领导本项目的日常经营管理工作。副总经理协助总经理工作。总经理

29、必须每季度向“联合管理办公室”报告公司的经营情况，半年向“联合管理办公室”作一次财务结算报告。 The responsibility of General Manager is to carry out the decision of “Joint Management Office” Meeting, organize and lead the daily operation management work of This Project. Vice General Manager assists General Manager to work. General Manager should

30、 make the report of the operation situation of the company to “Joint Management Office” quarterly, and make the financial settlement report to “Joint Management Office” every half a year.10、总经理、副总经理及其他管理人员有营私舞弊或严重失职行为时，经“联合管理办公室”会议做出决议，给予应得的处分直至解聘，对公司造成的经济损失，应负赔偿责任。 If there is any embezzlement or s

31、erious dereliction of duty for General Manager, Vice General Manager and other Mangers, determined by “Joint Management Office” Meeting, he should be punished until dismissed and any economic lost made to the company, he should take the responsibility of compensation.11、甲乙双方共同聘任第三方独立审计师负责审查、稽核本项目下的财

32、务收支和会计账目，并向“联合管理办公室”报告。如该第三方机构不接受委托或已经不存在，再由双方共同另行聘请其他第三方。Party A and Party B co-employ the third party of independent auditor to take charge of auditing, checking the financial revenue and expenditure and accounting under This Project, and make the report to “Joint Management Office”.第七条 财务、会计、管理Ar

33、ticle 7 Finance, Accounting and Management1、甲乙双方依据中华人民共和国会计法和财政部颁布的企业财务通则、企业会计准则的规定，建立本合作经营项目的财产、会计制度。According to and the provisions of and issued by the Ministry of Finance, Party A and Party B establish the property and accounting system of the co-operative project.2、本项目应按中华人民共和国有关税法缴纳各种税款。This P

34、roject should pay every kind of taxes according to the related tax law of P.R.C.3、本项目下的各项保险均应向中国的保险公司投保。投保办法、投保险别、保险价值、保期等均按中国人民保险公司的规定由“联合管理办公室”决定。Each insurance under This Project should be insured to the insurance company in China. The way, the level and the value of insurance as well as duration

35、 of insurance are determined by “Joint Management Office” according to the provisions of Peoples Insurance Company of China.第八条 盈余分配Article 8 Distribution of Earnings1、 甲乙双方共同经营、共同劳动，共担风险，共负盈亏。Party A and Party B co-operate the operation, co-work, co-undertake the risk and are responsible for profit

36、 and loss.2、 盈余按比例分配，甲乙双方分配当年税后净利润的各50%。The earnings is distributed in proportion. Party A and Party B allocate 50% of net profit after tax of that year.3、上述净利润的分配时间为每年的1月31日前分配上年度产生的净利润。The distribution time for the above net profit is before Jan. 31 of every year to allocate the net profit produce

37、d in last fiscal year.4、本项目的利益分配、亏损，如另有变动的，其具体方案由甲乙双方协商决定。If there is any change in the profit distribution and deficit of This Project, the detailed plan would be negotiated and determined by Party A and Party B.第九条 保密Article 9 Confidentiality协议双方保证对在讨论、签订、执行本协议过程中所获悉的属于其他方的且无法自公开渠道获得的文件及资料（包括商业秘密、

38、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密）予以保密。未经该资料和文件的原提供方同意，其他方不得向任何第三方泄露该商业秘密的全部或部分内容。Both sides in the agreement assure that they will keep confidential any documents or information (including business secret, corporate plan, operation activity, financial information, technology information, operation in

39、formation and other business secrets) which belong to other party and can not be obtained from open channels during the process of discussing, signing and carrying out this agreement. Without the approval from the original provider, any party should not give all or part of the business secrets away

40、to the third party.第十条 通知Article 10 Notice1、根据本合同需要，甲乙双方其中一方向另一方发出的全部通知以及各方的文件往来及与本合同有关的通知和要求等，必须用书面形式，可采用（书信、传真、电报、当面送交等）方式传递。以上方式无法送达的，方可采取公告送达的方式。According to the need of this contract, all the notices sent by one party to the other party and the documents transferred between both sides as well a

41、s the relevant notices and requirements and so on related to this contract, should be in written, delivered by the ways of (letter, fax, telegram, face to face and so on). 43、lters its notice or mailing address, it should notice the other party in written in 7 days since the date of alteration, otherwise, the relevant liability aroused by it is undertaken by the non-noticing party.第十一条 协议的变更Article 11 Alteration of the Agreement本协议履行期间，发生特殊情况时，甲、乙任何一方需变更本协议的，要求变更一方应及时书面通

44、知其他方，征得他方同意后，各方在规定的时限内（书面通知发出五天内）签订书面变更协议，该变更协议将成为本协议不可分割的部分。未经各方签署书面文件，任何一方无权变更本协议，否则，由此造成对方的经济损失，由责任方承担。If there is a special situation happened during the execution of the agreement, any party of the both sides asks for alteration should notice the other side in written, and after getting the agreement from the other one, both sides will sign the written agreement of alteration in the specified period (in 5 days after sending the written notice)
