1、技术开发合同技术开发合同书 Technology Development Contract 鉴于： 本合同签约各方就本合同书中所描述项目的研究开发、投资融资、成果权属、收益分配、风险责任以及与之相关的技术和法律问题经过平等协商，在真实、充分地表达各自意愿的基础上，根据中华人民共和国合同法之规定，达成如下协议，由签约各方共同恪守。 WHEREAS: The Parties hereto have carried out mutual consultation on an equal basis with respect to the research and development, inves

2、tment financing, deliverables ownership, profit distribution, risk liabilities and any related technical and legal issues concerning the project contemplated herein, the Parties have entered into this Contract on the basis of good faith, pursuant to the Contract Law of the Peoples Republic of China,

8、his Contract. 第十条 风险承担 Article 10 Risks 10.1 在本合同履行过程中，因现有技术水平和客观条件下难以克服的技术 困难造成的损失，风险责任按如下约定承担： 10.1 During the performance of this Contract, the Parties shall assume any risks and liabilities arising from any technical difficulties that cannot be overcome under the current technical level and obje

20、1本合同的订立、解释及争议的解决适用于中华人民共和国相关法律； 16.1 The formation and explanation of this contract, settlement of disputes is applicable laws related to Peoples Republic of China; 16.2所有因中、英文版本引起的矛盾及争议，以中文版本为准。 16.2 Any contradiction between Chinese and English version, Chinese versionshall prevail. 16.3 甲、乙双方将本着友

21、好协商的原则解决由本协议所引发的一切争端,如果通过协商不能达成共识，上诉甲方所在地法院裁决。 16.3 Both parties will negotiate all disputes with the principle of friendly principle. If not being reached an agreement, both parties can appeal to Party A District Court, P.R.C. 第十七条 合同生效 Article 17 Effectiveness 本合同一式 份，经签约各方签字盖章后生效，到 止。 This Contra
