1、多方MOU MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (“MOU”) is entered into on date by and between： (hereinafter referred to as Supplier), and (hereinafter referred to as Partner ), and (hereinafter referred to as Buyer). Supplier and Partner and Buyer are each hereinafter also referr

2、ed to as the “Party” and, collectively, as the “Parties”. DEFINITIONS Wherever used in this MOU the following terms shall have the meanings set forth below: “Affiliates” means any legal entity which, at the time of disclosure to it of any Confidential information, is directly or indirectly controlli

3、ng, controlled by or under common control with any of the Parties. “关联公司”指：在向其透露任何保密信息是，直接或间接控制、被任何一方控制或被共同控制的任何法律实体 “Confidential Information” means any information disclosed in any form whatsoever (including, but not limited to, disclosure made in writing, orally or in the form of samples, models,

4、 computer programs or otherwise) by the Disclosing Party to the Receiving Party under this MOU, provided that (i) if such information is disclosed by the Disclosing Party in writing, it shall be marked as confidential at the time of disclosure, (ii) if such information is disclosed by the Disclosing

5、 Party orally, it shall be identified as confidential at the time disclosure, (iii) if disclosed in any other manner, it shall be designated in writing as confidential at the time of disclosure or (iv) notwithstanding subparagraphs (i), (ii) and (iii) of this definition, the nature of such informati

6、on makes it obvious that it is confidential. However, the term Confidential Information shall not include any information disclosed by the Disclosing Party to the Receiving Party which a) is on the effective date, or thereafter becomes, publicly available otherwise than through an act or negligence

7、of the Receiving Party, b) is demonstrably developed at any time by the Receiving Party without use of Confidential Information, or c) is legitimately obtained at any time by the Receiving Party from a third party without restrictions in respect of disclosure or use. “保密信息”指根据本备忘录，有披露方向接收方以任何形式披露的任何

9、dential Information to the other Party under this MOU. “披露方”指根据本备忘录而向另一方披露保密信息的一方。 “Receiving Party” means the Party receiving Confidential Information from the other Party under this MOU. “接收方”指根据本备忘录从另一方接受保密信息的一方。 PURPOSE OF MOU The purpose with this MOU is to confirm and summarize the initial dis

10、cussions between the Parties and outline and agree upon the next steps to be taken. Parties undertake to conduct the future discussions etc. in good faith with the aim to progress and conclude the discussions as soon as possible and in accordance with agreed upon times schedule. 本备忘录的目的是确认和总结三方之间所进行

11、的初步讨论，并规划和同意下一步所需采取的行动方案。三方均保证以诚信原则并按照三方一致同意的时间表进行进一步的讨论，以求尽快推进和结束讨论。 In the event of the Parties are unable to reach mutually satisfactory agreements for any reason, any Party may terminate the discussions without liability to other Parties. Should any Party decide to terminate the discussions, the

12、 terminating Party shall immediately inform other Parties in writing about its decision. 如果三方由于任何原因而未能达成三方满意的协议，任何一方均可终止讨论而无需向其他方承担责任。如果任何一方决定终止讨论，提出终止方应立即书面告知其他方该决定。 PRELIMINARY STATEMENT 前 言 WHEREAS, - Supplier Comba group is a major Chinese wireless broadband system supplier and leading Wireless

CONFIDENTIAL INFORMATION 保密资料 4.1 From time to time prior to and during the term of this MOU any Party (“Disclosing Party”) have disclosed or may disclose to other Party (“Receiving Party”) business, marketing, technical, scientific or other information

18、which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgment, to be confidential (“Confidential Information”). The Receiving Party shall, during the t

19、erm of this MOU and for years thereafter. 本备忘录签署前以及在本备忘录有效期内，一方曾经或者可能不时向对方披露该方的商业、营销、技术、科学或其他资料，这些资料在披露当时被指定为保密资料，或者在保密的情况下披露，或者经三方的合理商业判断为保密资料。在本备忘录有效期内以及随后 年内，受方必须： maintain the confidentiality of Confidential Information; 对保密资料进行保密； not to use Confidential Information for any purpose other than t

24、rn to the Parties, or at the Disclosing Partys direction destroy, all materials (including any copies thereof) embodying other Parties Confidential information and (ii) certify in writing to the other Party, within ten days following other Parties Confidential Information and (ii) certify in writing

25、 to other Parties, within ten days following other Parties request, that all of such materials have been retuned or destroyed. 本备忘录期满或终止后，或经披露方随时提出要求，受方应向对方归还包含对方保密资料的所有材料，并且在对方提出此项要求后十日内向对方书面保证已经归还或销毁上述材料。 5. PUBLIC ANNOUNCEMENTS 本备忘内容保密 No Party shall make any announcement or disclosure concerning

26、 the MOU without any Partys prior written consent except as may be reasonably required by law. 除非按照法律规定有合理必要，未经任意一方事先书面同意，任何一方不得就本备忘录发表任何公开声明或进行任何披露。 6. INTELLECTUAL PROPERTY RIGHTS 知识产权 All intellectual property, including copyrights, patents, patent applications, trademarks and other intellectual

27、property shall remain the property of the originating Party or its licensors. Each Party shall retain all rights, title and interest in its intellectual property and no Party grants other Parties any rights to use its intellectual property unless and until otherwise provided in a written agreement s

28、igned by the Parties. 所有的知识产权，包括著作权，专利，专利申请，商标和其他知识产权应为发起方或其授权人的财产。每一方应保留所有权利，所有权和知识产权，没有一方可授予他人使用自己的知识产权，除非以书面协议，由三方签署另有规定的。 7. AMENDMENT OF MOU 本备忘录的修改 The terms and conditions of this MOU shall be amended only by mutual written consent between the Parties. 对本备忘录进行修改，须三方共同书面同意方可进行。 8. ASSIGNABLITY

29、 OF MOU 本备忘录的转让 Any Party may not assign this MOU to the other Party without the written consent of other Parties. 未经对方事先书面同意，任何一方不得转让本备忘录。 9. PARTY RESPONSIBLE FOR ITS OWN COSTS 各方承担各自费用 Except as may be provided under this MOU, each Party is responsible for its own costs incurred in performing the

30、 activities contemplated by this MOU. 除非本备忘录另有明确约定，任何一方应自行负担其从事本备忘录规定的活动所发生的费用。 10. NO CONSEQUENTIAL DAMAGES 不承担间接损失 No Party is liable for any indirect, special or consequential loss or damage or any loss or damage due to loss of goodwill or loss of revenue or profit arising in connection with this

31、 MOU. 任何一方对与本备忘录有关的任何间接或附带损失或损害、商誉的损失或者损害或者收入或利润的损失不承担责任。 11. EFFECTIVENESS AND TERMINATION OF MOU 本备忘录的生效和终止 This MOU shall come into force on signature by Parties and shall continue in effect until the earliest to occur of: 本备忘录经三方签字生效，至下列日期终止： the replacement of this MOU with a Contract or furthe

32、r agreement; 三方登记合同或进一步的协议取代本备忘录； anytime without cause upon providing a one (1) month prior written notice of one Party to other Parties; or 任何一方无须提供任何理由，提前一个月书面通知另一方终止本备忘录；或 ( ) days from the signing of this MOU. 本备忘录签署60天后。 Clauses4, 5, 8, 10, 11 and 12 shall survive the termination of this MOU.

IN the event that any dispute between the Parties arising in connection with this MOU cannot be resolved within a period of thirty (30) days on the basis of mutual consultation, then
