7、APTER FOUR AIMS，SCOPE AND SCALE OF PRODUCTION AND BUSINESS 第六条 甲、乙方合资经营的目的是：本着加强经济合作和技术交流的愿望，采用先进而适用的技术和科学的经营管理方法，提高产品质量，发展新产品，并在质量、价格等方面具有国际市场上的竞争能力，提高经济效益，使投资各方获得满意的经济利益。 6Aims of setting up JOINT VENTURE by Party A and Party B：For the purpose of improving economic co-operation and technological e

16、甲方责任： 办理为设立合营公司向中国有关主管部门申请批准、登记注册、领取营业执照等事宜； Party A： Applying to the competent Chinese departmentfor the establishment of JOINT VENTURE，having JOINT VENTURE registered and getting the business license； 向土地主管部门办理申请取得土地使用权的手续； Applying to the department controlling the land for the title of land usag

17、e； 组织合营公司厂房和其他工程设施的设计、施工； Being in charge of the design and construction of the factory buildings and other projects and facilities： 按第十一条和第十二条的规定提供现金、机械设备、厂房 Supplying JOINT VENTURE with cash，mechanical equipment，factory buildings，etcwhich are provided in Article 11 and Article 12 of this Contract；

18、 协助办理乙方作为出资而提供的机械设备的进口报关手续和在中国境内的运输； Assisting Party B to go through the customs entry formalities of the mechanical equipment supplied by Party B as his shares in JOINT VENTURE and assisting Party B with the transport of such equipment within the boundaries of China； 协助合营公司在中国境内购置或租赁设备、材料、原料、办公用具、交

19、通工具、通讯设施等； Assisting JOINT VENTURE to purchase or lease equipment，raw and processed materials，office and transportation appliance，communication facilities，etcwithin the boundaries of China； 协助合营公司联系落实水、电、交通等基础设施； Assisting JOINT VENTURE to get water supply，electricity，transport services and other ne

20、cessities required； 协助合营公司招聘当地的中国籍的经营管理人员、技术人员、工人和所需的其他人员； Assisting JOINT VENTURE to employ local Chinese management personnel，technicians， workers and other needed persons： 协助外籍工作人员办理所需的人境签证、工作许可证和旅行手续等； Assisting foreign employees to get entrance visas，work licenses and travel permits，etc； 负责办理合营

21、公司委托的其他事宜。 Undertaking other matters trusted by JOINT VENTURE 乙方责任： 按第十一条和第十二条的规定提供现金、机械设备、工业产权并负责将作为出资的机械设备等实物运至中国港口； Party B： Supplying JOINT VENTURE with cash，mechanical equipment，industrial property，etc provided in Article 11 and Article 12 hereof and shipping such physical property as mechanica

22、l equipment deemed as investment capital to the Chinese port； 办理合营公司委托在中国境外选购机械设备、材料等有关事宜； Purchasing mechanical equipment，materials，etcoutside China on trust of JOINT VENTURE； 提供需要的设备安装、调试以及生产技术人员、生产和检验技术人员； Sending technical personnel for the installation and debugging of needed equipment and tria

23、l production and technicians for production and product examination； 培训合营公司的经营管理人员以及技术人员和工人及其他人员。 Training managerial and technical personnel，workers and other employees for JOINT VENTURE； 如乙方同时又是技术转让方，则应负责合营公司在规定的期限内按设计能力稳定地生产合格产品； Where Party B is transferor of technology，he shall assure JOINT VEN

24、TUREto turn out qualified products in accordance with the designed capacity within the period herein provided； 协助合营企业工作人员及其他相关人员办理进人外国合营者所在国家或地区的签证； Assisting the employees of JOINT VENTURE, or other relevant personnel to be granted a visa to the state or district where the foreign co-operator resid

25、es； 负责办理合营公司委托的其他事宜。 Doing other matters entrusted by JOINT VENTURE 第七章 技术转让 CHAPTER SEVEN TECHNOLOGY TRANSFER 第十五条 甲、乙双方同意，由合营公司与乙方签订技术转让协议，以取得为达到合同第四章规定的生产经营目的、规模所需的先进生产技术，包括产品设计、制造工艺、测试方法、材料配方、质量标准、培训人员等。 15Party A and Party B agree that JOINT VENTURE may enter into Agreement of Assignment of Tec

26、hnology with Party Bto get the sophisticated techniques in production indispensable for gaining the purposes provided in Chapter Four of this Contract, including product designs，manufacturing skills，inspection methods，directions for producing materials，quality control，personnel training，etc 第十六条 乙方对

27、技术转让提供如下保证： 16As for assignment of technology，Party B warrants，guarantees，covenants that： 乙方保证为合营公司提供的_的设计、制造技术、工艺流程、测试和检验等全部技术是完整的、准确的、可靠的，是符合合营公司经营目的的要求的，保证能达到本合同要求的产品质量和生产能力； AThe design，production skills，technological process，examination and inspection methods,etc of _ provided by Party B must b

28、e complete and integrated，accurate，reliable, fit for the requirements of the business of JOINT VENTURE and keeping of the quality of products and ascertaining of the production capacity herein provided； 乙方保证本合同和技术转让协议规定的技术全部转让给合营公司，保证提供的技术是德乙方同类技术中最先进的技术，设备的选型及性能质量是优良的，并符合工艺操作和实际使用的要求；， BParty B sha

29、ll transfer all the technology to JOINT VENTURE under the terms in this Contract and in the Agreement of Assignment of Technology，the technology transferred shall be the most advanced of the same category in Party Bs portfolio，the type and function of the equipment shall be good and shall meet the d

30、emand of technological process and practical usage； 乙方对技术转让协议中规定的各阶段提供的技术和技术服务，应开列详细清单作为该协议的附件，并保证实施； CAs for technology and technical service provided by Party B in all stages according to the Agreement of Assignment of Technology，Party B shall make out detailed lists as appendices to the Agreement

31、 to guarantee the enforcement of the Agreement； 图纸、技术条件和其他详细资料是所转让的技术的组成部分，保证如期提交； DDiagrams, technical conditions and other minute information are integral parts of the transfer of technology and shall be supplied duly； (5)在技术转让协议有效期内，乙方对该项技术的改进，以及改进的情报和技术资料，应及时提供合营公司，不另收费用； EAt all time during the

32、 term of the Agreement of Assignment of Technology，Party B shall report and supply information to JOINT VENTURE duly with respect to any innovation made by Party B in the transferred technology，and no extra fee shall be charged hereof； 乙方保证在技术转让协议规定的期限内使合营公司技术人员和工人掌握所转让的技术。 FParty B shall ensure the

33、 technical personnel and workers in JOINT VENTURE master transferred techniques within the period provided by the Agreement of Assignment of Technology. 第十七条 如乙方未按本合同及技术转让协议的规定提供设备和技术，或发现有欺骗或隐瞒之行为，乙方应负责赔偿合营公司的直接损失。 17Where Party B fails to provide equipment or techniques under the terms and conditio

34、ns herein or in the Agreement of Assignment of Technology or is found fraudulent，Party shall be liable for the direct losses of JOINT VENTURE caused hereby 第十八条 技术转让费采取提成方式支付。提成率为产品出厂净销售额的_。提成支付期限以本合同第十九条规定的技术转让协议期限为期限。 18Technology transfer fees will be paid by way of deducting a percentagefrom the

39、cts for domestic market may be sold by proxy or exclusively by Chinese commodity departments or commercial departments，or sold directly by JOINT VENTURE 第二十三条 为了在中国境内外销售产品和进行销售后的产品维修服务，经中国有关部门批准，合营公司可在中国境内外设立销售维修服务的分支机构。 23Approved by the Chinese department concerned，JOINT VENTURE may set up sales a
