5、公司提出赔偿。 DOCUMENTS: (1) Signed commercial Invoice in 3 folds indicating Contract No. (2) Packing list/ weight memo in 3 folds indicating quantity/number of bottle (3) Full set (3/3) of original ocean Bill of Lading. (4) Certificate of origin, 1 original and 2 copies issued by the Manufacturer. (5) Ce

6、rtificate of insurance at 110% of invoice value issued by the insurance company, including all risk. If the cargo is damaged in the period of shipment the buyers will claim against insurance company. 11.装船通知：卖方在收到提货单4日内转交一份提货单复印件给买方。 SHIPPING ADVICE: The seller to forward a copy of the bill of Ladin

7、g within 4 working days of receival. 12.质量保证：商品的制作质量问题由买方承担责任。 GUARANTEE: The Buyer should take the responsibility for quality issues due to the manufacturing process. 13.人力不可抗拒：凡在制造或装船运输过程中，因人力不可抗拒的事故，致使卖方推迟交货或不能交货时，卖方可不负责任，但发生上述事故时，卖方应立即通知买方，并在十四日内，给买方航寄一份由主管*当局颁发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加速交货。如事

8、故延续四周以上，买方有权撤销合同。 FORCE MAJEURE: The Sellers shall not be responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit . The Sellers shall advise the Buyers immediately of the occ

9、urrence mentioned above and within fourteen days thereafter the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however,

10、are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident creates a delay of more than four weeks, the Buyer shall have the right to cancel the contract. 14.仲裁：凡因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决，如果协商不能解决，应提交中国国际贸易促进委员会对外经济贸易仲裁委员会根据该会仲裁程序

11、暂行规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费用由败诉方承担。 ARBITRATION: All disputes arising form the execution of or in connection with this Contract shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the Foreign Economi

12、c and Trade Arbitration Commission of the China Council for the promotion of International Trade, Beijing . The arbitration fee shall be borne by the losing party. 15.本合同正本一式两份，买方执一份，卖方执一份。合同生效以签字日为准。本合同根据中国法律签订，以中文说明为准。The contract is made out in two originals. Each signatory party holds one original.
