10、12港元 稅後 虧損，較去年的31,777,948港 元 稅後 虧 損 增加 近 約142%。本 集 團 之 業 務 主 要 分為 掌 上電子 產 品 和 原 件設 計 生 產ODM產 品兩 大 類。在 本 財 政 年度內，掌上電子 產 品 佔 本 集 團 之 總收 入 比例 為 約48.4%，至 於 原件 設 計 生 產 產 品 業 務 方 面，佔本 集 團 之 總收 入 比例 為 約51.6%。分析本 集 團 按 市 場 地 區分 類 之收 入 顯示，本 集團業務仍以亞洲市場為主，包括香港（佔18.6%）及 其他 亞 洲市場（佔67.2%）致使本集團收入下跌及錄得虧損的原因主要是：（一）本

11、集團業務減少及生產訂單下跌、週期性訂單因著淡 旺季 影 響 波 動，生 產需求 按 月不同，致使 生 產事業部 在 淡 季 錄得虧 損，影 響本集團的 業 績；（二）如 本 集 團 所 料，隨 著 綜 合消 費 電子 產 品出 現，傳 統 電子 辭 典 銷 量下 降及市 場 收縮，於本 財政年度 電子 辭 典 業 務 收 入 減 少，這亦引致 本 集 團 錄 得 虧 損。個人 通訊 產品策略性 業務單位(PCP SBU)渡 過多年 的 投 資 期 後，在 二零 一 一二零 一二年 財 政年度 轉 虧 為 盈。相 信PCP SBU 在 行業 應 用的 無線 通 訊 產 品及行業 市場的 發展 將

12、可慢 慢增長，雖然 未 為 本集團帶來可 觀 的盈利 貢 獻，但 期 望有正 面 發 展。,The results of Group Sense(International)Limited(the“Company”,together with its subsidiaries,the“Group”)inthe financial year of 20112012 were not satisfactory.TheGroup recorded total revenues of HK$478,708,620 in thefinancial year of 20112012,around 23%l

13、ower than those ofHK$622,854,894 in the last year.The Group recorded a lossafter tax of HK$76,917,712 in this financial year,around 142%more than those of HK$31,777,948 in the last year.The Groups two main lines of businesses are the electronichandheld products business and the original designmanufa

14、cturing(“ODM”)products business.In this financialyear,the electronic handheld products business contributedapproximately 48.4%to the Groups total revenue.As for theODM business,the contribution of this business segment in thisfinancial year was approximately 51.6%of the Groups totalrevenue.In analyz

15、ing the Groups revenue by geographical areas,Asiais the Groups key market,including Hong Kong(18.6%)andother Asian markets(67.2%).The main reasons for the decrease in revenue and the losswere:(a)the decrease in businesses and orders,fluctuation inseasonal orders in low and peak seasons as well as de

16、viation inmonthly production demands led the factory into a loss,whichin turn affected the results of the Group;(b)as the Groupexpected,the emergence of integrated consumer electronicproducts,the decrease in sales of traditional electronicdictionaries and shrinkage of traditional electronic dictiona

17、riesmarkets also led the electronic dictionary business into a lossand in turn affect the results of the Group.After crossing a few years investment stage,PersonalCommunication Products SBU(strategic business unit)hasturned around in the financial year of 20112012.It is believedthat the wireless com

19、,本 集 團 的未 來 方向 有以下三 點：（一）善用資 源、致 力扭 轉生 產事業部虧 損：為有效利用資源，本集團於本財政年度將 佔地 約100市 畝 廠 房的 其中約40%未 使 用土地 出 租，並 正 積 極 精 簡 及 騰 空 位 於 香 港自置物業的自用倉庫面積及安排出租，預計可為本集團每年帶來收 入。為 提高採 購效 益及加強與物料供應商的伙伴關係，本集團於本財政年度結合各事業部的採 購小組，成立中央採 購部。本集團計劃將部份工 序 外 判，使 生 產 事 業 部 更 靈 活 處 理 及應變淡旺季的訂單，減低因著淡旺季對 週期性訂單波動的影響。同時，本集團致力將部份廠 房開拓生 產

20、加工觸膜 屏零部件業務，累積經驗，目標將生 產加工觸膜 屏零部件業務成為本集團主要收 入 之一，期望可彌補因訂單下降對本集團收 入的沖,There are three main areas of targets for the futuredevelopment of the Group:Better use of resources,strived to turn around thefactory:for effective use of resources,the Group hasrented out approximately 40%of unused land of theappr

21、oximately 100 mu factory premises during thisfinancial year.The Group also actively streamlined andvacated the excess area of the self-owned Hong Kongwarehouse and arranged for renting out.It is expectedthat this would bring revenue to the Group.To enhancethe purchasing efficiency and foster the par

22、tnership withmaterials suppliers,the Group has established a centralprocurement division by combining purchasing teams ofdifferent SBUs.To flexibly cope with the fluctuation inseasonal orders in low and peak seasons as well as thedeviation in monthly production demands in the factory,the Group is pl

23、anning to outsource certain process.Inaddition,the Group is strived to develop the business,of sub-contract manufacturing of touch panel businessby accumulating the relevant experiences with a viewto become one of the major sources of revenue of theGroup and offset the impact of the decrease of orde

25、 及市 場 收縮，本集團 於本年 初 決 定，由二零一二年四月一日起，善用電子辭 典 業務單位資 源和技 術，結合策略產品業務單位及電子辭典 業務單位，相 信可為本集團加強開發日本 市 場 速 度。由 於 估 計 結 合 兩 個 業 務 單位 的 調 整 期 和 電子 辭 典 業 務 的 虧 損 將 維持一段時間，期望調整期過後，結合後的策略產品業務單位可為本集團提 供 更多資源開拓日本市場的潛在客戶，長 遠可改善業 績。（三）開 拓 中 國 機 遇、尋 求 新 發 展：在 過 去 一年，本集團其中一項 重 點發展的項目是 繼續興建廣東基 地。直至現在為止，本集團已投 入累計超過 港幣六千萬元

26、，預計可在年底進駐該基 地。由於中國電子出版及新媒體 業務持續增長，本集團於本財政年度已引入 策略性合作 伙伴，將本集團持有廣東中大 訊 通 軟件 科 技 有 限公司（本 集 團 的附 屬公司）部分權 益 轉 讓予廣 州 金 蟾 軟件研 發 中心 有 限 公司，該 公司 有 意 發 展中國 國 家 級 數 字出 版 基 地，期 望 該 基 地可為本集團帶來新 發展出路。,Merge the SBUs,foster the existing business:due tothe expected decrease in sales of traditional electronicdiction

28、the Group in speeding upthe development of the Japan market.It is believed thatthere is still in a period of transition and the electronicdictionary business will still record a loss for a periodof time.The Group expects that after the period ofthe transition,the newly combined Strategic ProductsSBU

29、 would offer more resources for exploring potentialcustomers in Japan market and would improve the resultsin long run.Explore China opportunities,seek for new development:in the past year,one of the Groups key developmentprojects was to continue to establish a base inGuangdong.Up to date,the Group h

30、as already investedover HK$60 million and expects to be able to move intothe premises in this year-end.In view of the rapid growthof the electronic publishing and new media businessesin China,the Group has already established a strategicpartnership with Guangzhou Kingsun Software R&DCentre Co.,Ltd.(

38、 insales turnover and profit in the financial year of 20112012.The orders from major markets such as Hong Kong andTaiwan showed no significant recovery even after launch ofseries of new products.The rapid growth of smartphoneswith standard operating system platforms that containse-dictionary applica

39、tions affected the demand in traditionalelectronic dictionary products.Major efforts have been madefor reviewing the business strategy and for improvement inoperating efficiency with a view of minimizing the loss.The result of the Original Design Manufacturing Division inthe second half of the finan

40、cial year of 20112012 recordeda decrease in sales turnover and a negative profit.As theJapanese economy was still in decline after the natural disasterin March 2011,the orders from our Japanese customers hadbecome sluggish and deviated from their forecast.The Divisionhad responded by focusing on hig

41、h value-added,higherprofitable vertical markets products business.Nevertheless,thedecrease in order quantity inevitably affected the efficiencyof the factory operation.Sudden drop in the eBook readersorders in the US market had also affected the inventories level,resulting in a loss.OutlookIn view o
