10、语体风格,商务合同文本的语体风格主要由语域标记、句法标记、词语标记等来实现。例如：（1）At the request of Party B, Party A agrees to send technicians to assist Party B to install the equipment.“应乙方要求，甲方同意派遣技术人员帮助乙方安装设备。”assist 较 help 正式；（2）The Employer shall render correct technical guidance to the personnel.“雇主应该对有关人员给予正确技术指导。”render 较 give

11、正式；,19,商务英语中常用的正式用词：,amend（change, correct）修改 assist (help)帮助advise（tell）通知 commence （begin或start）开始employ（use）“使用” convene (hold, call ) 召开construe（explain, interpret）解释deem (think, believe，consider )认为render (give)给予，提供rescind （cancel）撤消 terminate（end）终止partake in（join） 参与 require（ask）要求surrender（

13、 of 因为prior to 在之前as regards/concerning/relating to 关于cease to do 停止做 in effect 事实上 miscellaneous 其他事项,21,22,VIII 情态动词用法,注意may、shall、should、will、may not、shall not等词语的法律内涵May、shall、should、will、may not、shall not等词的确很常见，但是在合同中这些词具有特殊的意义，所以翻译起来要极其谨慎，避免引起纠纷。,23,a.May：在表示合同上的权利（Right）、权限（Power）或特权（Privile

14、ge）的场合中使用。若表示某种权利在法律上具有强制性的时候，更多的是“be entitled”（叫做，被称为是）。b.Shall：在合同中并不是单纯的将来时，一般用它来表示法律上可以强制执行的义务（Obligation）。如未履行，即视为违约，并构成某种赔偿责任。所以，shall在译文里，通常表示“应该”或“必须”，当然，也有不翻译的时候。例如：,24,c. Should：在合同中通常只用来表示语气较弱的假设，多翻译成“万一”或“如果”，极少译成“应该”。The board meeting shall be convened and presided over by the Chairman.

15、 Should the chairman be absent, the vice-Chairman shall, in principle, convene and preside over the board meeting.董事会会议应由董事长召集、主持；若董事长缺席，原则上应由副董事长召集、主持。,25,d.Will：一般使用在没有法律强制的情况下，也用做表示承担义务的声明，但语气和强制力比Shall弱。e.May not（或shall not）：用于禁止性义务，即“不得做什么”。,26,有时候也用条件句,合同为表达可能发生的各种情况、设想，以及相关的处理方法，条款中条件句较多，尤其是在

16、有关付款、违约责任、不可抗力、财产处理和仲裁等几部分中。这种结构虽然拖沓冗长，但表意精确，避免了产生歧义的情形。常见表达有： in the event that, in case表达“如果、假若”，例如：（1）In case the Import License is required, the buyer should settle the problem before placing the order.“若需要进口许可证，买方应在订货前办妥。”,27,should 表达希望某事不太可能发生等。,（2）Should the buyer fail to perform any provisi

17、on of the contract signed with the seller, the seller is entitled to terminate the wholeor any part of the contract, or postpone the delivery or hold back the goods in transit.“假如买方未能履行与卖方所订立合同的任何条款，卖方有权终止全部或部分合同，或延期交货，或截留运输中货物。”,28,商务合同中的数字翻译,表示恰恰好，不多不少“exactly, flat, just, sharp, whole”表示大约，不确定 “a
