固定资产贷款管理办法(2024年2月2日国家金融监 督管理总局令2024年第1号公 布自2024年7月1日起施 行)第一章总则第一条为规范银行业金 融机构固定资产贷款业务经营 行为,加强固定资产贷款审慎 经营管理,促进固定资产贷款 业务健康发展,依据中华人 民共和国银行业监督管理法 中华人民共和国商业银行 法等法律法规,制定本办 法。固定资产贷款管理办法MeasuresfortheAdministrationofFixedAssetLoans制定机关:国家金融监督管理总局发文字号:国家金融监督管理总局令2024年第1号公布日期:2024.02.02施行日期:2024.07.01效力位阶:部门规章法规类别:贷款IssuingAuthority:NationalAdministrationofFinancialRegulationDocumentNumber:No.1f2024JoftheStateAdministrationforFinanceRegulationDateIssued:02-02-2024EffectiveDate:07-01-20241.evelofAuthority:DepartmentalRulesAreaofLaw:LoanMeasuresfortheAdministrationofFixedAsset1.oans(IssuedbyOrderNo.12024oftheStateAdministrationforFinanceRegulationonFebruary2,2024andshallcomeintoforceonJuly1,2024)ChapterIGeneralProvisionsArticle1Forthepurposesofregulatingthefixedassetloanbusinessofbankingfinancialinstitutions,strengtheningtheprudentialbusinessoperationandmanagementofthefixedassetloanbusinessandpromotingthesounddevelopmentofthefixedassetloanbusiness,theseMeasuresaredevelopedaccordingtotheBankingSupervisionLawofthePeople,sRepublicofChina,theLawofthePeople,sRepublicofChinaonCommercialBanksandotherrelevantlawsandregulations.Article2ForthepurposesoftheseMeasures,ubankingfinancialinstitutions(hereinafterreferredtoas“lenders")refertocommercialbanks,ruralcooperativebanks,ruralcreditcooperativesandotherfinancialinstitutionstakingpublicdepositsformedintheterritoryofthePeople'sRepublicofChina.Article3ForthepurposesoftheseMeasures,theterm“fixedassetloanreferstoaloanindomesticandforeigncurrenciesgrantedbyalendertoalegalpersonoranunincorporatedorganization(excludingentitiesthatshallnotapplyforbankloansaccordingtotherelevantrulesofthestate)forinvestmentinaborrower'sfixedassets.ForthepurposesoftheseMeasures,investmentinfixedassetsrefertoaborrower'sconstruction,purchase,reconstructionandotheractsoffixedassetsinthecourseofbusinessoperation.Article4ForthepurposesoftheseMeasures,uprojectfinancingreferstoafixedassetloanwhichmeetsthefollowingcharacteristics:(1) Theloanisgenerallyusedforbuildingaorasetoflarge-scaleproductionequipment,infrastructureproject,realestateprojectoranyotherproject,includingrefinancingforaprojectunderconstructionorhavingbeenconstructed.第二条本办法所称银行 业金融机构(以下简称贷款 人),是指在中华人民共和国 境内设立的商业银行、农村合 作银行、农村信用合作社等吸 收公众存款的金融机构。第三条本办法所称固定 资产贷款,是指贷款人向法人 或非法人组织(按照国家有关 规定不得办理银行贷款的主体 除外)发放的,用于借款人固 定资产投资的本外币贷款。本办法所称固定资产投资,是 指借款人在经营过程中对于固 定资产的建设、购置、改造等 行为。第四条本办法所称项目 融资,是指符合以下特征的固 定资产贷款:(一)贷款用途通常是用于建 造一个或一组大型生产装置、 基础设施、房地产项目或其他 项目,包括对在建或已建项目 的再融资;(二)借款人通常是为建设、 经营该项目或为该项目融资而 专门组建的企事业法人,包括 主要从事该项目建设、经营或 融资的既有企事业法人;(2) Usually,aborrowerisanincorporatedenterpriseorpublicinstitutionwhichisexclusivelyestablishedforbuildingandoperatingtheprojectorraisingfundsfortheproject,includinganexistingincorporatedenterpriseorpublicinstitutionwhichbuildsoroperatestheprojectorraisesfundsfortheproject.(3) Theprimarysourceofrepaymentisthesalesincome,subsidyincomeorotherincomefromtheproject,andusuallyitistheonlysourceofrepayment.Article5Alendershallcarryoutfixedassetsloanbusinessundertheprinciplesoflegitimacy,compliance,prudentialoperation,equality,freewill,fairnessandgoodfaith.Article6Alendershallimproveitsinternalcontrolmechanism,managethewholeprocessofloans,comprehensivelyobtainclients*andprojectinformation,setupasystemforriskmanagementoffixedassetloansandanefficientmechanismforthecheckandbalanceofposts,specifytheloanmanagementresponsibilitiesofeachspecificdepartmentandpost,andestablishanevaluationandaccountabilitymechanismforeachpost.Article7Alendershallincludethefixedassetloansintheunifiedmanagementofcredittoaborroweranditsgroup,sclients,andestablisharisklimitmanagementsystemaccordingtotheactualriskmanagementneeds.Article8Alenderandaborrowershallclearlyagreeuponthelegalpurposesofaloan,andinspectandsupervisetheuseofaloanasagreedtopreventmisappropriationofaloan.(三)还款资金来源主要依赖 该项目产生的销售收入、补贴 收入或其他收入,一般不具备 其他还款来源。第五条 贷款人开展固定 资产贷款业务,应当遵循依法 合规、审慎经营、平等自愿、 公平诚信的原则。第六条贷款人应完善内 部控制机制,实行贷款全流程 管理,全面了解客户和项目信 息,建立固定资产贷款风险管 理制度和有效的岗位制衡机 制,将贷款管理各环节的责任 落实到具体部门和岗位,并建 立各岗位的考核和问责机制。第七条贷款人应将固定 资产贷款纳入对借款人及借款 人所在集团客户的统一授信管 理,并根据风险管理实际需 要,建立风险限额管理制度。第八条 贷款人应与借款 人约定明确、合法的贷款用 途,并按照约定检查、监督贷 款的使用情况,防止贷款被挪 用。第九条固定资产贷款期 限一般不超过十年。确需办理 期限超过十年贷款的,应由贷Article9Thetermofafixedassetloangenerallyshalldonotexceed10years.Whereitisnecessarytoapplyforaloanwithatermofover10years,theheadofficeofalendershallberesponsiblefortheexaminationandapproval,orprudentlyauthorizethecorrespondingleveltoberesponsiblefortheexaminationandapprovalaccordingtotheactualcircumstances.款人总行负责审批,或根据实际情况审慎授权相应层级负责审批。Article10Theinterestrateofafixedassetloanshallfollowthemarket-orientedprincipleofinterestrateandbedeterminedbythelenderandtheborrowerthroughconsultationincompliancewiththerelevantrulesofthestate.第十条固定资产贷款利率应当遵循利率市场化原则,由借贷双方在遵守国家有关规定的前提下协商确定。Article11TheStateAdministrationforFinanceRegulationanditslocalofficesshallimplementsupervisionandadministrationofthefixedassetloanbusinessaccordingtothelaw.第十一条国家金融监督管理总局及其派出机构依法对固定资产贷款业务实施监督管理OChapter 11 AcceptanceandInvestigationChapter 12 Anapplicationforafixedassetloanshallmeetthefollowingconditions:第二章受理与调查第十二条固定资产贷款申请应具备以下条件:(1) Aborrowerhasbeenregistereduponapprovalofthemarketregulatorydepartmentorcompetentdepartment.(2) Theborrowerhasasoundcreditstanding.(3) Whereaborrowerisanewlyformedprojectlegalperson,itscontrollingshareholdershallhavegoodcreditstanding.(一)借款人依法经市场监督管理部门或主管部门核准登记;(二)借款人信用状况良好;(三)借款人为新设项目法人的,其控股股东应有良好的信用状况;(四)国家对拟投资项目有投 资主体资格和经营资质要求 的,符合其要求;(4) Wherethestatespecifiesrequirementsconcerningtheinvestor'squalificationsandbusinessqualificationsfortheinvestmentproject,suchrequirementsaresatisfied.(5) The purpose of the loan and the source of repayment are clear and lawful.(五)借款用途及还款来源明 确、合法;(6) The project conforms to the relevant policies regarding the industry, land, environmental protection, etc. and the lawful management procedures for the fixed asset investment project have been fulf川ed under relevant provisions.(六)项目符合国家的产业、 土地、环保等相关政策,并按 规定履行了固定资产投资项目 的合法管理程序;(7) The relevant rules of the state on the system of capital for investment projects are complied with.(七)符合国家有关投资项目 资本金制度的规定;(8) Other requirements of the lender are satisfied.(A)贷款人要求的其他条 件QArticle13Alendershallputforwardrequirementsfortheformatandspecificcontentoftheapplicationmaterialsprovidedbyaborrower,andrequestaborrowertoscrupulouslyabidebytheprincipleofgoodfaithandtoundertaketheauthenticity,integrityandvalidityofthematerialsprovided.第十三条贷款人应对借 款人提供申请材料的方式和具 体内容提出要求,并要求借款 人恪守诚实守信原则,承诺所 提供材料真实、完整、有效。Article14Alendershallsetuptheconcreteresponsibledepartmentandpoststoconductaduediligenceinvestigationandformawrittenreport.Aduediligenceinvestigationshallinclude:第十四条贷款人应落实 具体的责任部门和岗位,履行 尽职调查并形成书面报告。尽 职调查的主要内容包括:(一)借款人及项目发起人等 相关关系人的情况,包括但不 限于:股权关系、组织架构、 公司治理、内部控制、生产经 营、核心主业、资产结构、财 务资金状况、融资情况及资信 水平等;(1) aborrower,aprojectsponsorandotherrelevantparties,includingbutnotlimitedto:equityrelationship,organizationalstructure,corporategovernance,internalcontrol,productionandbusinessoperation,corebusiness,assetstructure,financialcapitalstatus,financingsituationandcreditlevel,etc.;(二)贷款项目的情况,包括 但不限于:项目建设内容和可 行性,按照有关规定需取得的 审批、核准或备案等手续情 况,项目资本金等建设资金的 来源和可靠性,项目承建方资 质水平,环境风险情况等;(2) thesituationofaloanproject,includingbutnotlimitedto:theconstructioncontentandfeasibilityofaproject,theexamination,approval,verification,orrecordationandotherformalitiesrequiredinaccordancewiththerelevantprovisions,thesourceandreliabilityoftheprojectcapitalandotherconstructionfunds,thequalificationleveloftheprojectcontractor,environmentalrisks,etc.;(三)借款人的还款来源情 况、重大经营计划、投融资计 划及未来预期现金流状况;(3) aborrower'ssourcesofrepayment,majorbusinessoperationplans,investmentandfinancingplansandexpectedfuturecashflows;(四)涉及担保的,包括但不 限于担保人的担保能力、抵(质)押物(权)的价值等;(4) wheresecurityisinvolved,includingbutnotlimitedtotheguaranteeabilityoftheguarantor,thevalueofthecollateral(pledge),etc.;and(五)需要调查的其他内容。(5) Othercontentsnecessarytobeinvestigated.尽职调查人员应当确保尽职调 查报告内容的真实性、完整性 和有效性。Theduediligenceinvestigatorsshallensuretheauthenticity,integrityandvalidityoftheduediligenceinvestigationreport.第三章风险评价与审批ChapterIIIRiskEvaluationandExaminationandApproval第十五条贷款人应落实 具体的责任部门和岗位,对固 定资产贷款进行全面的风险评 价,并形成风险评价报告。Article 15 Alendershallsetuptheconcreteresponsibledepartmentandpostssoastomakeall-aroundriskevaluationoffixedassetloansandformriskevaluationreports.第十六条贷款人应建立 完善的固定资产贷款风险评价 制度,设置定量或定性的指标Article 16 Alendershallestablishasoundriskassessmentsystemforfixedassetloans,setquantitativeorqualitativeindicatorsand和标准,以偿债能力分析为核 心,从借款人、项目发起人、 项目合规性、项目技术和财务 可行性、项目产品市场、项目 融资方案、还款来源可靠性、 担保、保险等角度进行贷款风 险评价,并充分考虑政策变 化、市场波动等不确定因素对 项目的影响,审慎预测项目的 未来收益和现金流。standards,takeanalysisonsolvencyasthecore,conductloanriskassessmentfromtheperspectivesofborrowers,projectsponsors,complianceofaproject,technicalandfinancialfeasibilityofaproject,productmarketofaproject,financingschemeofaproject,reliabilityofrepaymentsources,guarantee,insurance,etc.,fullyconsidertheimpactofuncertainfactorssuchaspolicychangesandmarketfluctuationsontheproject,andprudentlyforecastthefutureincomeandcashflowofaproject.贷款人经评价认为固定资产贷 款风险可控,办理信用贷款 的,应当在风险评价报告中进 行充分论证。Wherealenderdeemsthattherisksofafixedassetloanarecontrollableafterassessmentandhandlescreditloans,itshallbefullydemonstratedintheriskassessmentreport.第十七条贷款人应按照 审贷分离、分级审批的原则, 规范固定资产贷款审批流程, 明确贷款审批权限,确保审批 人员按照授权独立审批贷款。Article 17 Alendershallregulatetheproceduresfortheexaminationandapprovaloffixedassetloansundertheprincipleofseparatingtheexaminationandapprovalofloansfromthegrantingofloansandtheprincipleofhierarchicalexaminationandapprovaltoensurethatexaminersindependentlyexamineandapproveloansaccordingtotheauthorization.第十八条贷款人为股东 等关联方办理固定资产贷款 的,应严格执行关联交易管理 的相关监管规定,发放贷款条 件不得优于一般借款人,并在 风险评价报告中进行说明。Article 18 Wherealenderhandlesfixedassetloansforshareholdersandotheraffiliatedparties,itshallstrictlyimplementtherelevantregulatoryprovisionsonthemanagementofaffiliatedtransactions,theconditionsforgrantingloansshallnotbebetterthanthoseforordinaryborrowers,anditshallbeexplainedintheriskassessmentreport.第四章合同签订ChapterIVConclusionofContracts第十九条 贷款人应与借Article 19 Alendershallconcludeawrittenloan款人及其他相关当事人签订书 面借款合同等相关协议,需担 保的应同时签订担保合同或条 款。合同中应详细规定各方当 事人的权利、义务及违约责 任,避免对重要事项未约定、 约定不明或约定无效。contractandotherrelatedagreementswithaborrowerandotherrelevantparties,andconcludeaguaranteecontractorclause,ifnecessary.Thecontractsshallstipulateindetaileachparty'srights,obligationsandliabilitiesforbreachofcontractsoastoavoidthelackofstipulations,ambiguousstipulationsorinvalidstipulationsonimportantmatters.第二十条 贷款人应在合 同中与借款人约定具体的贷款 金额、期限、利率、用途、支 付、还贷保障及风险处置等要 素和有关细节。Article 20 Alenderandaborrowershallstipulateinthecontracttheconcreteloanamount,term,interestrate,purpose,payment,repaymentguarantee,handlingofrisks,andotherelementsanddetails.第二十一条贷款人应在 合同中与借款人约定提款条件 以及贷款资金支付接受贷款人 管理和控制等与贷款使用相关 的条款,提款条件应包括与贷 款同比例的资本金已足额到 位、项目实际进度与已投资额 相匹配等要求。Article 21 Alenderandaborrowershallstipulateinthecontractclausesabouttheconditionsforwithdrawal,subjectingthepaymentoftheloanfundtothemanagementandcontrolofthelender,anduseoftheloan.Theconditionsforwithdrawalmoneyshallincludetherequirementsforputtinginplacethefullamountofcapitalinthesameproportionoftheloan,andmakingtheactualprogressoftheprojectmatchwiththeamountofinvestmentalreadymade.第二十二条贷款人应在 合同中与借款人约定对借款人 相关账户实施监控,必要时可 约定专门的贷款发放账户和还 款账户。Article 22 Alendershallstipulatewithaborrowerinthecontractthatitwillmonitortherelevantaccountsoftheborrowerandifnecessary,maystipulatespecialaccountsforgrantingaloanandforrepayment.第二十三条贷款人应要 求借款人在合同中对与贷款相 关的重要内容作出承诺,承诺 内容包括但不限于:Article 23 Alendershallrequireaborrowertomakecommitmentsinthecontractonimportantcontentsrelatedtoaloan,includingbutnotlimitedto:(1) Theloanprojectandtheloanitemssatisfytherequirementsoflawsandregulations.(一)贷款项目及其借款事项 符合法律法规的要求;(二)及时向贷款人提供完 整、真实、有效的材料;(2) Providingcomplete,authenticandeffectivematerialstothelenderinatimelymanner.in loan payment management and(3) Assistingalendermanagement,post-loanrelevantinspections.(三)配合贷款人进行贷款支付管理、贷后管理及相关检查;(4)Obtainingtheconsentofthelenderbeforemerger,division,andequitytransfer,foreigninvestment,foreignguarantee,substantialincreaseindebtfinancingandothermajormattersthatmayaffectitssolvency.(四)进行合并、分立、股权转让,以及进行可能影响其偿债能力的对外投资、对外提供担保、实质性增加债务融资等重大事项前征得贷款人同意;(5)Notifyingthelenderofanybigeventwhichwouldproduceanyadverseimpactonitssolvencyinatimelymanner.(五)发生其他影响其偿债能力的重大不利事项及时通知贷款人。Article24Alendershallagreewithaborrowerinthecontractthatunderanyofthefollowingcircumstancesaborrowershallbeliableforbreachofcontractandthatthelendermaytakesuchmeasuresasearlyrecoveryoftheloan,adjustmenttotheloanpaymentmethod,adjustmenttotheloaninterestrate,collectionofpenaltyinterest,reductionofthecreditline,andceaseorsuspensionofloangranting,andbeheldaccordinglyliable.第二十四条贷款人应与借款人在合同中约定,借款人出现以下情形之一时,借款人应承担的违约责任,以及贷款人可采取的提前收回贷款、调整贷款支付方式、调整贷款利率、收取罚息、压降授信额度、停止或中止贷款发放等措施,并追究相应法律责任:(1)Failingtousetheloanforthepurposesasagreedinthecontract.(一)未按约定用途使用贷款的;(2)Failingtopayloanfundsinthemodeasagreedinthecontract.(二)未按约定方式支用贷款资金的;(3)Failingtokeepthepromises.(三)未遵守承诺事项的;(4)Theinformationintheloanapplicationdocumentsisdistorted.(四)申贷文件信息失真的;(5)Exceedingtherestrictionsofthefinancialindicatorsagreed.(五)突破约定的财务指标约束等情形的;(6)Anyothercircumstancesinviolationoftheloancontract.(六)违反借款合同约定的其他情形的。Article25Alendershallagreeonaclearrepaymentarrangementwithaborrowerinthecontract.Alendershallreasonablydeterminetheloantermandrepaymentmethodbasedonfactorssuchasthesourceofrepaymentofafixedassetloanandtheprojectconstructionandoperationcycle.Wherethetermofaloanexceedsoneyear,theprincipalshallberepaidininstallments.Alendershall,inaccordancewiththeriskmanagementrequirementsandinconsiderationoftheborrower'sbusinessoperationconditionsandrepaymentsources,prudentlyagreewiththeborrowerontheamountofprincipalrepaymentforeachterm.Inprinciple,thefrequencyofrepaymentshallnotbelessthantwiceayear.Wherealenderconsidersthatitisnecessarytoreducethefrequencyofrepayment,themaximumfrequencyofrepaymentmayberelaxedtoonceayear.Wherethesourceofrepaymentfundsmainlyreliesontheincomegeneratedbythebusinessoperationoftheproject,thefirstrepaymentdateshallnotbelaterthanoneyearaftertheprojectreachesthepredetermined第二十五条贷款人应在合同中与借款人约定明确的还款安排。贷款人应根据固定资产贷款还款来源情况和项目建设运营周期等因素,合理确定贷款期限和还款方式。贷款期限超过一年的,应实行本金分期偿还。贷款人应当根据风险管理要求,并结合借款人经营情况、还款来源情况等,审慎与借款人约定每期还本金额。还本频率原则上不低于每年两次。经贷款人评估认为确需降低还本频率的,还本频率最长可放宽至每年一次。还款资金来源主要依赖项目经营产生的收入还款的,首次还本日期应不晚于项目达到预定可使用状态满一年。usablestate.第五章发放与支付ChapterVGrantingandPayment第二十六条贷款人应设 立独立的责任部门或岗位,负 责贷款发放和支付审核。第二十七条贷款人在发 放贷款前应确认借款人满足合 同约定的提款条件,并按照合 同约定的方式对贷款资金的支 付实施管理与控制。贷款人应 健全贷款资金支付管控体系, 加强金融科技应用,有效监督 贷款资金按约定用途使用。Article 26 Alende
