高水平对外开放,促进外商投 资,保护外商投资合法权益,巩 固开放先导地位,服务和融入构 建新发展格局,根据中华人民 共和国外商投资法中华人民 共和国外商投资法实施条例等 法律、行政法规,结合本省实 际,制定本条例。第二条 本省行政区域内 的外商投资促进、保护和服务等 工作,适用本条例。第三条本省鼓励外商投 资,坚持市场化、法治化、国际 化原则,建立和完善外商投资促 进、保护机制,优化外商投资服 务,规范外商投资管理,推动外 商投资便利化,为外商投资营造 稳定、透明、可预期和公平竞争 的发展环境。第四条鼓励外国投资 者、外商投资企业参与本省具有 全球影响力的产业科技创新中 心、具有国际竞争力的先进制造Article4Foreigninvestorsandforeign-fundedenterprisesshallbeencouragedtoparticipateintheprovince,sconstructionofindustrialscienceandtechnologyinnovationcenterswithglobalinfluence,advancedmanufacturingbaseswithinternationalcompetitiveness,two-wayopeninghubswithworldcohesion,andthejunctionsofthe"BeltandRoad.Article5Theprovinceappliestheadministrativesystemofpre-establishmetnationaltreatmentplusnegativelisttoforeigninvestmentinaccordancewiththerelevantprovisionsissuedbythestate.RestrictiveorprohibitivemeasuresfortheaccessofforeigninvestmentoutsidethenegativelistofforeigninvestmentaccessreleasedorapprovedbytheStateCouncilshallbeprohibited.Foreigninvestment,uponaccess,shallbemanagedundertheprincipleofconsistencybetweendomesticandforeigninvestment.Thereportingofforeigninvestmentinformationandthesecurityreviewofforeigninvestment,amongothers,shallbegovernedbytherelevantprovisionsissuedbythestate.Article6Localpeople'sgovernmentsatandabovethecountylevelshallstrengthentheorganizationandleadershipofforeigninvestment,urgerelevantdepartmentstoperformtheirdutiesinforeigninvestmentworkinaccordancewiththelaw,andimplementrelevantpoliciesandmeasures;establishandimprovedeliberationandcoordinationmechanisms,coordinatethepromotionofforeigninvestment,andpromptlycoordinateandresolvemajorissuesinforeigninvestmentwork.业基地、具有世界聚合力的双向 开放枢纽,以及“一带一路”交 汇点建设。第五条本省按照国家规 定对外商投资实行准入前国民待 遇加负面清单管理制度。禁止在 国务院发布或者批准发布的外商 投资准入负面清单以外制定外商 投资准入的限制或者禁止性措 施。外商投资在准入后按照内外资一 致的原则实施管理。外商投资信 息报告、外商投资安全审查等按 照国家有关规定执行。第六条县级以上地方人 民政府应当加强对外商投资工作 的组织领导,督促有关部门依法 履行外商投资工作职责,落实有 关政策措施;建立健全议事协调 机制,统筹推进外商投资工作, 及时协调、解决外商投资工作中 的重大问题。商务、发展改革部门按照职责分 工,负责外商投资促进、保护、 服务和管理等工作;其他有关部 门在各自职责范围内,开展外商 投资相关工作。Thecommerceanddevelopmentandreformdepartmentsshall,accordingtothedivisionoftheirduties,beresponsibleforthepromotion,protection,services,andmanagementofforeigninvestment;andotherrelevantdepartmentsshallcarryouttheworkrelatedtoforeigninvestmentwithinthescopeoftheirrespectiveduties.Article7Employeesofaforeign-fundedenterpriseshallestablishatradeunionandconducttradeunionactivitiesinaccordancewiththelawtoprotectthelawfulrightsandinterestsofemployees.Aforeign-fundedenterpriseshallprovidenecessaryconditionsfortheactivitiesofitstradeunion.Article8Aforeign-fundedenterprisemaylegallyestablishachamberofcommerceorassociation.Exceptasotherwiseprescribedbyanylaworregulation,aforeign-fundedenterpriseshallhavetheautonomytojoinorwithdrawfromachamberofcommerceorassociation,withoutinterventionfromanyentityorindividual.Achamberofcommerceorassociationshall,inaccordancewiththeprovisionsoflaws,regulations,anditsbylaws,strengthenindustryself-regulation,promptlyreflectthedemandsofitsmembers,providerelevantservicesforitsmembers,andsafeguardthelawfulrightsandinterestsofitsmembers.ChapterIlInvestmentPromotion第七条外商投资企业职 工依法建立工会组织,开展工会 活动,维护职工合法权益。外商 投资企业应当为本企业工会提供 必要的活动条件。第八条外商投资企业可 以依法成立商会、协会。除法 律、法规另有规定外,外商投资 企业有权自主决定参加或者退出 商会、协会,任何单位和个人不 得干预。商会、协会应当依照法律、法规 和章程的规定,加强行业自律, 及时反映会员诉求,为会员提供 相关服务,维护会员合法权益。第二章投资促进第九条县级以上地方人 民政府应当根据法律、法规的规 定,在法定权限内制定费用减 免、用地指标保障、公共服务提 供等方面的外商投资促进和便利 化政策措施。Article9Localpeople,sgovernmentsatandabovethecountylevelshall,inaccordancewiththeprovisionsoflawsandregulations,developpoliciesandmeasuresforthepromotionandfacilitationofforeigninvestmentwithintheirrespectivestatutorypowersinaspectssuchasfeereductionandexemption,guaranteeoflandusequota,andprovisionofpublicservices.1.ocalpeople'sgovernmentsatalllevelsandrelevantdepartmentsshalltreatmarketentitiesequallyinaccordancewiththelaw,andshallnotdevelop,implement,orimplementindisguisediscriminatorypoliciesormeasuresagainstforeign-fundedenterprises,ensurethatforeign-fundedenterprisesenjoyequaltreatmentinaspectssuchasaccesstofactors,qualificationlicensing,operation,bidding,andtaxreductionandexemption.Article10Localpeople'sgovernmentsatalllevelsandrelevantdepartmentsshallguaranteethefairparticipationofforeign-fundedenterprisesingovernmentprocurementinaccordancewiththelaw.Purchasersandprocurementagenciesingovernmentprocurementshallnotapplydifferentialordiscriminatorytreatmenttoforeign-fundedenterprisesinaspectssuchasthereleaseofgovernmentprocurementinformation,determinationofconditionsforsuppliers,eligibilityexamination,andbidevaluationcriteria,shallnotlimitsuppliersbyownershipform,organizationalform,equitystructure,countryofinvestor,productorservicebrand,andotherunreasonableconditions,andshallnottreatdifferentlytheproductsproducedorservicesprovidedwithinChinabyforeign-fundedenterprisesandthoseofwhollyChinese-fundedenterprises.地方各级人民政府以及有关部门 应当依法平等对待市场主体,不 得针对外商投资企业制定、实施 或者变相实施歧视性政策措施, 确保外商投资企业在要素获取、 资质许可、经营运行、招标投 标、税费减免等方面享受平等待 遇。第十条地方各级人民政 府以及有关部门依法保障外商投 资企业公平参与政府采购。政府采购的采购人、采购代理机 构不得在政府采购信息发布、供 应商条件确定和资格审查、评标 标准等方面,对外商投资企业实 行差别待遇或者歧视待遇,不得 以所有制形式、组织形式、股权 结构、投资者国别、产品或者服 务品牌以及其他不合理的条件对 供应商予以限定,不得对外商投 资企业在中国境内生产的产品、 提供的服务和内资企业区别对 待。第十一条外商投资企业 依法平等参与国家标准、行业标 准、地方标准和团体标准的制 定、修订工作。外商投资企业可 以依法自行制定或者与其他企业 联合制定企业标准。Article11Foreign-fundedenterprisesshallequallyparticipateinthedevelopmentandrevisionofnationalstandards,industrystandards,localstandards,andgroupstandardsinaccordancewiththelaw.Foreign-fundedenterprisesmaydevelopenterprisestandardsindependentlyorjointlywithotherenterprisesinaccordancewiththelaw.Themarketregulatorydepartmentsandrelevantdepartmentsofprovincesanddistrictedcitiesshallseektheopinionsofforeign-fundedenterpriseswhendevelopingandrevisinglocalstandardscloselyrelatedtotheproductionanddistributionofforeign-fundedenterprises,makepublicthefull-processinformationonthedevelopmentandrevisionoflocalstandards,andprovideconvenienceandguidanceforforeign-fundedenterprisestoparticipateinthedevelopmentandrevisionoflocalstandardsandinternationalstandardizationcooperation.Representativesofforeign-fundedenterprisesareencouragedtoparticipateinvariousprofessionalstandardizationtechnicalcommitteesinaccordancewiththelaw.Nostandardsshallbeusedtocarryoutactsthatpreventforeign-fundedenterprisesfromparticipatinginfaircompetition.Article12China(Jiangsu)PilotFreeTradeZone(uJiangsuFTZn)shallplayapioneeringrole,alignwithhigh-standardinternationaleconomicandtraderules,makesysteminnovations,exploreandimplementexperimentalpoliciesandmeasuresforforeigninvestmentinaccordancewiththelaw,andgeneratereplicableandwidelyapplicableexperienceandachievements.省、设区的市市场监督管理部门 和有关部门制定、修订与外商投 资企业生产经营密切相关的地方 标准,应当听取外商投资企业的 意见,并推进地方标准制定、修 订全过程信息公开,为外商投资 企业参与地方标准制定、修订以 及标准国际化合作等提供便利和 指导。鼓励外商投资企业代表依法参加 各类专业标准化技术委员会0禁止利用标准实施妨碍外商投资 企业参与公平竞争的行为。第十二条中国(江苏) 自由贸易试验区(以下简称自贸 试验区)应当发挥先行先试作 用,对标高标准国际经贸规则, 进行制度创新,依法探索实行外 商投资试验性政策措施,形成可 复制、可推广的经验和成果。外商投资试验性政策措施经实践 证明可行的,可以依法在自贸试 验区以外更大地域范围内适用, 但国家明确仅适用于自贸试验区 的除外。TherelevantexperimentalpoliciesandmeasuresforforeigninvestmentthathavebeenprovedfeasiblemaybeappliedinalargergeographicalscopeoutsidetheJiangsuFTZinaccordancewiththelaw,exceptforthoseexplicitlyspecifiedbythestateasexclusivelyapplicabletotheJiangsuFTZ.AllareasoftheJiangsuFTZshallcarryoutdifferentiatedexplorationaccordingtotheirrespectivefunctionsandpositioning,implementmoreopenpoliciesandmeasuresforforeigninvestmentliberalizationandfacilitation,strengthentheinteractivedevelopmentwithopenplatformssuchasdevelopmentzones,comprehensivebondedzones,andinternationalcooperationparks,andpromotethefreeflowandefficientallocationoffactors.Article13Localpeople'sgovernmentsatandabovethecountylevelshalltakemeasurestosupportdevelopmentzonesinstrengtheningtheirfunctionaladvantagesanddrivingrolesinattractingforeigninvestment,intensifyopeningup,expandingthefieldsofutilizationofforeigninvestment,stabilizingthescaleofutilizationofforeigninvestment,increasingtheproportionofutilizationofforeigninvestmentinthemanufacturingindustry,cultivatingindustryleadingenterprisesandcoreenterprisesintheindustrialchainwithstrongdrivingforceandwideinfluence,andpromotingtheclusterdevelopmentofsupportingenterprises.自贸试验区各片区应当根据各自 的功能定位开展差别化探索,实 施更加开放的外商投资自由化便 利化政策措施,加强与开发区、 综合保税区、国际合作园区等开 放平台联动发展,促进要素自由 流动与高效配置。第十三条县级以上地方 人民政府应当采取措施,支持开 发区强化吸引外资的功能优势和 带动作用,加大开放力度,拓展 利用外资领域,稳定利用外资规 模,提高制造业利用外资比重, 培育带动力强、辐射面广的行业 龙头企业和产业链核心企业,推 动配套企业集聚发展。第十四条县级以上地方 人民政府应当结合本地发展规划 和比较优势,鼓励和引导外国投 资者在国家制定的鼓励外商投资 产业目录和本省重点发展领域内 进行投资,参与制造业集群、优 势产业链建设,促进重点产业强 链补链延链。Article14Localpeople'sgovernmentsatandabovethecountylevelshall,inconjunctionwithlocaldevelopmentplansandcomparativeadvantages,encourageandguideforeigninvestorstoinvestintheindustrieslistedintheCatalogueofEncouragedIndustriesforForeignInvestmentdevelopedbythestateandinthekeydevelopmentfieldsoftheprovince,participateintheconstructionofmanufacturingclustersandadvantageousindustrychains,shoreupareasofweaknessandcultivatestrengthsinindustrialchains,andextendindustrialchainsinkeyindustries.Qualifiedforeigninvestorsareencouragedtoforminvestmentcompaniesandenterprisesinvestedandformedbytherelevantinvestmentcompaniesmayenjoythetreatmentofforeign-fundedenterprisesinaccordancewiththerelevantprovisionsissuedbythestate.Foreign-fundedenterprisesshallbeencouragedtocarryoutmarket-orientedcooperationwithvariousmarketentitiessuchaswhollyChinese-fundedenterprisesundertheprinciplesofcomplementaryadvantages,industriallinkage,andbenefitsharing.Article15Localpeople'sgovernmentsatandabovethecountylevelmaytakemeasurestoencouragemultinationalcompaniestoestablishregionalheadquartersandfunctionalinstitutions,strengthenthecultivationofheadquartersandfunctionalinstitutions,andestablishaclusterofforeign-fundedheadquarters.Headquartersandfunctionalinstitutionsofmultinationalcompaniesmayenjoyfacilitationpoliciesinpersonnelentryandexit,talentintroduction,fundsettlement,investmentandfinancing,tradelogistics,andcustomsclearanceofgoods,amongothers,inaccordancewithrelevantprovisions.Regionalheadquartersandfunctionalinstitutionsofmultinationalcompaniesshallbeencouragedtoconcentratetheirbusinesses,expandfunctions,enhancetheircapabilities,anddeeplyparticipateintheglobalindustrialdivisionofworkandcooperation.鼓励符合条件的外国投资者设立 投资性公司,相关投资性公司投 资设立的企业可以按照国家有关 规定享受外商投资企业待遇。鼓励外商投资企业与内资企业等 各类市场主体以市场为导向,按 照优势互补、产业联动、利益共 享的原则开展合作。第十五条县级以上地方 人民政府可以采取措施鼓励跨国 公司设立地区总部和功能性机 构,加强总部和功能性机构培 育,建立外资总部集聚区。跨国 公司总部和功能性机构按照有关 规定享受人员出境入境、人才引 进、资金结算、投融资、贸易物 流、物品通关等便利化政策。鼓励跨国公司地区总部和功能性 机构集聚业务、拓展功能、提升 能级,深度参与全球产业分工和 合作。第十六条县级以上地方 人民政府应当完善服务和保障措 施,支持外商投资在本省设立和 发展研发中心,与国内企业联合Article16Localpeople'sgovernmentsatandabovethecountylevelshallimproveservicesandguaranteemeasures,supportforeigninvestorsinforminganddevelopingresearchanddevelopmentcentersintheprovince,andcarryouttechnologyresearchanddevelopmentand开展技术研发和产业化应用。industrializedapplicationjointlywithdomesticenterprises.Foreign-fundedenterprisesshallbesupportedinequallyparticipatingintheapplicationfortheconstructionofresearchanddevelopmentplatformsandthedeclarationofgovernmentscienceandtechnologyprojectsandenjoythesupportofsupportingpolicies.Foreign-fundedenterprisesandresearchanddevelopmentcentersformedbythemshallbeencouragedtoundertakemajorscientificresearchprojects.1.argescientificresearchinstrumentsandfacilitiesincludedinthesharedserviceplatformshallbeaccessibletoandsharedbyforeign-fundedenterprisesinaccordancewiththerelevantprovisionsissuedbythestateandtheprovince.Foreign-fundedenterprisesareencouragedtomaximizecapitalandtechnologyadvantages,intensifyresearchanddevelopment,cooperatewithcollegesanduniversities,scientificresearchinstitutions,andenterprises,amongothers,andenhancetheirscientificandtechnologicalinnovationcapabilitiesandindustrialcompetitiveness.Article17Localpeople'sgovernmentsatandabovethecountylevelshallsupportthereinvestmentofforeign-fundedenterpriseswithinChinainaccordancewiththelaw,andguidetheinvestmentofprofitsofforeign-fundedenterprisesinkeyfieldssuchashigh-endmanufacturing,intelligentmanufacturing,greenmanufacturing,andproducerservices.支持外商投资企业平等参与研发 平台建设、政府科技计划项目等 申报,并享受配套政策扶持。鼓 励外商投资企业及其设立的研发 中心承担重大科研攻关项目。纳入共享服务平台的大型科研仪 器、设施按照国家和省有关规定 面向外商投资企业开放共享。鼓励外商投资企业发挥资本和技 术优势,加大研发力度,与高等 院校、科研院所、企业等开展合 作,提高科技创新能力和产业竞 争力。第十七条县级以上地方 人民政府应当支持外商投资企业 依法在中国境内进行再投资,引 导外商投资企业利润投向高端制 造、智能制造、绿色制造和生产 性服务业等重点领域。外国投资者从中国境内居民企业ForeigninvestorswhousetheprofitsdistributedfromadomesticresidententerpriseinChinafordirectinvestmentwithinChinashallbeentitledtotaxpreferencesinaccordancewiththerelevantprovisionsissuedbythestate.Article18Theprovinceshall,accordingtotherequirementsofnationalstrategiesfortheintegrateddevelopmentoftheYangtzeRiverDeltaandthedevelopmentoftheYangtzeRiverEconomicBelt,amongothers,andbyrelyingontheYangtzeRiverDeltaregionalworkcollaborationmechanism,amongothers,jointlypromotetheopeningupofkeyfields,strengthencross-provincialcooperationinforeigninvestmentwork,enhancethelinkageeffectsofopeningup,andguidetherationallayoutofforeigninvestmentindustries.Article19Localpeople'sgovernmentsatandabovethecountylevelandrelevantdepartmentsshallpromote
