会StandingCommitteeofthePeople'sCongressofDalianCityOctober9,20232023年10月9日RegulationofDalianCityonthePromotionofForeignInvestment大连市外商投资促进条例(Adoptedatthe13rdSessionoftheStandingCommitteeoftheSeventeenthPeople,sCongressofDalianCityonAugust29,2023,andapprovedatthe5thSessionoftheStandingCommitteeoftheFourteenthPeople'sCongressofLiaoningProvinceonSeptember27,2023)（2023年8月29日大连市第十七届人民代表大会常务委员会第十三次会议通过2023年9月27日辽宁省第十四届人民代表大会常务委员会第五次会议批准）Article1Forthepurposesofpromotingforeigninvestment,advancinghigher-levelopeningupofthisCity,andachievinghigh-qualitydevelopment,thisRegulationisdevelopedinaccordancewiththeForeignInvestmentLawofthePeople'sRepublicofChina,theRegulationontheImplementationoftheForeignInvestmentLawofthePeople'sRepublicofChina,andotherlawsandadministrativeregulationsandinlightoftheactualcircumstancesofthisCity.Article2ThisRegulationshallapplytotheforeigninvestmentpromotionactivitieswithintheadministrativeareaofthisCity.第一条为了促进外商投资，推动本市更高水平对外开放，实现高质量发展，根据中华人民共和国外商投资法中华人民共和国外商投资法实施条例等法律、行政法规，结合本市实际，制定本条例。第二条本市行政区域内的外商投资促进活动，适用本条例。Article3ThisCityshallcomprehensivelyimplementthesystemofpre-accessnationaltreatmentplusthenegativelistmanagementforforeigninvestment.Inthefieldsotherthanthose第三条本市全面落实外商投资准入前国民待遇加负面清单管理制度。在外商投资准入负面清单之外的领域，市、区（市）县人民政府及其部门 不得针对外商投资设置准入限 运营、处置等各阶段给予外国 投资者及其投资不低于类似情 形下给予本国投资者及其投资 的待遇。ThisCityshall,accordingtotheprovisionsissuedbythestate,accordtoforeigninvestorsandtheirinvestmentsthetreatmentnolessfavorabletothataccordedtodomesticinvestorsandtheirinvestmentsunderthesamecircumstancesatthestagesofestablishment,operation,anddisposition,amongothers.第四条本市按照国家对 外开放总体部署，对标高标准 国际投资贸易通行规则，推进 从商品和要素流动型开放向规 则、规制、管理、标准等制度 型开放拓展，不断增强区域门 户开放功能，加快建成东北亚 国际航运中心、东北亚国际物 流中心、区域性金融中心，打 造面向东北亚开放合作新前 沿。Article4ThisCityshall,inaccordancewiththenationaloverallarrangementsforopeningup,bebenchmarkedagainsttheprevailingrulesforhigh-standardinternationalinvestmentandtrade,advancetheexpansionfromthegoodsandelementsflow-basedopeninguptoinstitutionalopeningupbasedonrules,regulations,managementandstandards,amongothers,continuouslyenhancetheregionalopen-doorfunctions,acceleratetheestablishmentoftheNortheastAsiaInternationalShippingCenter,theNortheastAsiaInternationalLogisticsCenter,andtheregionalfinancialcenter,andbuildanewfrontierforopeninguptoandcooperationwithNortheastAsia.第五条市及区（市）县 人民政府应当加强对外商投资 促进工作的领导，制定外商投 资促进政策措施，建立健全外 商投资协调机制，及时协调、 解决外商投资工作中的重大问 题。Article5Thepeople,sgovernmentsofthecity,districts(prefectures)andcountiesshallstrengthentheleadershipofforeigninvestmentpromotion,developpoliciesandmeasuresforforeigninvestmentpromotion,establishandimproveforeigninvestmentcoordinationmechanisms,andcoordinateandsolvemajorproblemsintheworkconcerningforeigninvestmentinatimelymanner.市人民政府商务、发展改革主 管部门按照职责分工，负责本 行政区域内外商投资促进工 作；区（市）县人民政府主管 外商投资促进工作的部门，负 责本行政区域内外商投资促进 工作。Thecommercedepartmentandthedevelopmentandreformdepartmentofthepeople'sgovernmentofthecityshall,accordingtothedivisionoftheirfunctions,beresponsiblefortheforeigninvestmentpromotionworkwithintheirrespectiveadministrativeregions;andthedepartmentsinchargeofforeigninvestmentpromotionofthepeople,sgovernmentsofdistricts(prefectures)andcountiesshallberesponsiblefortheforeigninvestmentpromotionworkwithintheirrespectiveadministrativeregions.市及区（市）县人民政府其他 有关部门在各自职责范围内， 做好与外商投资促进相关的工 作。Otherrelevantdepartmentsofthepeople'sgovernmentsofthecity,districts(prefectures)andcountiesshall,withinthescopeoftheirrespectivefunctions,effectivelyconducttheworkrelatedtoforeigninvestmentpromotion.具有行政管理职能的市人民政 府派出机关等根据授权，负责 管理区域内的外商投资促进工 作。Thelocalagenciesofthepeople'sgovernmentofthecitywithadministrativemanagementfunctionsshallberesponsiblefortheforeigninvestmentpromotionworkwithintheirrespectiveregionsaccordingtoauthorization.第六条市及区（市）县 人民政府应当建立健全由政府 主导，专业机构、商会、协会 和企业等共同参与的外商投资 促进服务体系，为外国投资 者、外商投资企业提供全方 位、精准化的投资促进服务。Article6Thepeople'sgovernmentsofthecity,districts(prefectures)andcountiesshallestablishandimproveaforeigninvestmentpromotionservicesystemthatisledbygovernmentsandjointlyparticipatedinbyprofessionalinstitutions,chambersofcommerce,associationsandenterprises,amongothers,soastoprovideall-roundandpreciseinvestmentpromotionservicestoforeigninvestorsandforeign-fundedenterprises.第七条市人民政府应当 建立外商投资促进服务信息平 台，归集外商投资相关法律、 当逐步拓展多语种信息服务。Theforeigninvestmentpromotionserviceinformationplatformshallgraduallyexpandtheinformationservicesinmultiplelanguages.第八条市人民政府商务 主管部门及区（市）县人民政 府主管外商投资促进工作的部 门，应当会同有关部门定期编 制本行政区域外商投资指南、 投资环境白皮书等外商投资指 引，以中英日韩文等多语种公 布，并及时更新。Article8Thecommercedepartmentofthepeople,sgovernmentofthecityandthedepartmentsinchargeofforeigninvestmentpromotionofthepeople'sgovernmentsofdistricts(prefectures)andcountiesshall,inconjunctionwithrelevantdepartments,compileonaregularbasisforeigninvestmentguidelinessuchastheguidancebooksforforeigninvestmentandwhitepapersonforeigninvestmentenvironmentfortheirrespectiveadministrativeregions,publishtheminmultiplelanguagessuchasChinese,English,Japanese,Korean,andupdatetheminatimelymanner.外商投资指引应当包括本行政 区域经济社会基本情况、重点 发展产业、优势投资领域等投 资环境介绍，投资办事指南， 投资项目信息以及相关数据信 息等内容。Foreigninvestmentguidelinesshallincludetheintroductionofinvestmentenvironmentsuchasbasiceconomicandsocialconditions,keydevelopmentindustries,andadvantageousinvestmentfieldsoftheseadministrativeregions,guidestohandlingaffairsrelatedtoinvestment,andinformationoninvestmentprojectsandrelevantdata,amongothers.第九条市、区（市）县 人民政府及其有关部门在政府 资金安排、土地供应、税费减 免、资质许可、标准制定、项 目申报、人力资源政策等方 面，应当依法平等对待外商投Article9Thepeople'sgovernmentsofthecity,districts(prefectures)andcountiesandtheirrelevantdepartmentsshall,inaccordancewiththelaw,equallytreatforeign-fundedenterprisesandwhollyChinese-fundedenterprisesinaspectssuchasgovernmentfundingarrangements,landsupply,taxandfeereductionandexemption,资企业和内资企业，不得制定 或者实施对外商投资企业的歧 视性政策措施。qualificationlicensing,developmentofstandards,projectapplications,andhumanresourcepolicies,andshallnotdeveloporimplementthediscriminatorypoliciesormeasuresagainstforeign-fundedenterprises.外商投资企业通过本市公共资 源交易平台，依法平等参与政 府采购、招标投标、土地出 让、产权交易等活动。Foreign-fundedenterprisesshallhavetheequalrightstoparticipateinthegovernmentprocurement,biddingandtendering,landassignment,transactionofpropertyrights,andotheractivitiesinaccordancewiththelawthroughthisCity'spublicresourcestradingplatform.第十条本市保障外商投 资企业依法平等参与地方标准 的制定、修订。市场监管部门 和有关部门应当依法公开地方 标准制定、修订的全过程信 息，为外商投资企业参与地方 标准起草相关工作、标准翻译 以及标准国际化合作等提供便 利和指导。鼓励外商投资企业 代表参加全国专业标准化技术 委员会。Article10ThisCityshallensuretheequalparticipationofforeign-fundedenterprisesinthedevelopmentandrevisionoflocalstandardsinaccordancewiththelaw.Marketregulatorydepartmentsandrelevantdepartmentsshall,inaccordancewiththelaw,disclosetopublicthewhole-processinformationonthedevelopmentandrevisionoflocalstandards,andprovidefacilitationandguidanceforforeign-fundedenterprisestoparticipateintheworkrelatedtothedraftingoflocalstandards,translationofstandards,andinternationalcooperationinstandards,amongothers.Representativesofforeign-fundedenterprisesshallbeencouragedtoparticipateintheChinaNationalStandardizationTechnicalCommittee.制定、修订与外商投资企业生 产经营密切相关的地方标准， 应当按照便捷有效原则采取多 种方式征求外商投资企业的意 见。Todevelopandreviselocalstandardscloselyrelatedtotheproductionandbusinessoperationsofforeign-fundedenterprises,theopinionsofforeign-fundedenterprisesshallbesolicitedbymultiplemeansundertheprinciplesofconvenienceandefficiency.第十一条市及区（市）县人民政府应当采取城市推Article11Thepeople'sgovernmentsofthecity,districts(prefectures)andcountiesshall,byadoptingavarietyofformssuchasurban介、区域推介、产业推介、项 度，创新开展投资促进工作。promotion,regionalpromotion,industrialpromotion,projectplanning,andcentralizedsigning,makingfulluseofsocializedandmarket-orientedinvestmentattractionforcessuchasdomesticandforeignchambersofcommerce,associations,professionalinvestmentattractioncompanies,intermediaries,andfinancialinstitutions,andutilizingtheInternet,bigdata,cloudplatforms,andothertechnologies,increasetheeffortsinthepublicityandpromotionofinvestmentenvironmentandcooperationprojectsandconductinvestmentpromotionworkinaninnovativemanner.鼓励各类投资促进机构推动投 资促进活动与大型国际活动联 动，在境内外开展投资促进工 作，拓展引资渠道，提升引资 质量。Variousinvestmentpromotionagenciesshallbeencouragedtopromotetheinteractionofinvestmentpromotionactivitieswithlarge-scaleinternationalactivities,conductinvestmentpromotionworkathomeandabroad,expandchannelsforattractinginvestment,andelevatethequalityoftheinvestmentattracted.市人民政府商务主管部门应当 会同市人民政府外事部门对在 境外开展的外商投资促进活动 进行统筹、指导、服务，跟踪 后续招商引资成果。第十二条本市加强与国 际友好城市、友好组织以及其 他境外城市、地区和组织在投 资经贸领域的交流和合作。Thecommercedepartmentofthepeople'sgovernmentofthecityshall,inconjunctionwiththeforeignaffairsdepartmentofthepeople,sgovernmentofthecity,makeoverallplansandprovideguidanceandservicesfortheforeigninvestmentpromotionactivitiescarriedoutoutsideChinaandtracksubsequentinvestmentpromotionresults.Article12ThisCityshallstrengthenexchangesandcooperationwithinternationalsistercities,friendlyorganizationsandothercities,regionsandorganizationsoutsideChinainthefieldsofinvestment,economyandtrade.市及区（市）县人民政府应当加强与境外投资促进机构的联Thepeople'sgovernmentsofthecity,districts(prefectures)andcountiesshallstrengthentheircontactswithoverseasinvestmentpromotion系，建立投资促进合作关系， 其有关部门应当充分利用中国 国际进口博览会、中国国际数 字和软件服务交易会、辽宁国 际投资贸易洽谈会以及世界经 济论坛等重大经贸与合作活 动，为外国投资者、外商投资 企业与本市进行信息交流、产 业合作和项目对接等搭建平 台，拓展对外招商资源网络。Article13Thepeople,sgovernmentofthecityanditsrelevantdepartmentsshallmakefulluseoftheChinaInternationalImportExpo,theChinaInternationalDigitalandSoftwareServiceFair,theLiaoningInternationalFairofInvestmentandTrade,andtheWorldEconomicForum,andothermajoreconomicandtradeandcooperationactivitiestobuildplatformsforinformationexchanges,industrialcooperation,andprojectconnectionbetweenforeigninvestorsandforeign-fundedenterprisesandthisCityandexpandthenetworkofforeigninvestmentattractionresources.第十四条市人民政府商 务主管部门及其他相关部门应 当通过持续创新资金、人才、 物流、通关等便利化措施，鼓 励外国投资者在本市设立跨国 公司地区总部和总部型机构， 支持其集聚业务、拓展功能， 升级为亚太总部、全球总部。 设立跨国公司地区总部和总部 型机构的，享受相关政策支 持OArticle14Thecommercedepartmentofthepeople'sgovernmentofthecityandotherrelevantdepartmentsshall,bycontinuouslyinnovatingonfacilitativemeasuresintermsoffunds,talents,logistics,andcustomsclearance,amongothers,encourageforeigninvestorstoestablishregionalheadquartersofmultinationalcompaniesandquasi-headquartersinthisCity,andsupporttheminaggregatingbusiness,expandingfunctionsandbeingupgradedtoAsia-pacificheadquartersandglobalheadquarters.Thoseestablishingregionalheadquartersofmultinationalcompaniesandquasi-headquartersshallenjoyrelevantpolicysupport.鼓励外国投资者在本市设立投资性公司，支持投资性公司依ForeigninvestorsshallbeencouragedtosetupinvestmentcompaniesinthisCity,andinvestment法开展投资活动，为其股权交 持跨国公司与本市企业、科研 机构、高等院校建立联合研发 中心，联合开展技术研发和产 业化应用。设立研发中心的， 享受相关政策支持。Article15Foreign-fundedenterprisesshallbesupportedinestablishingresearchanddevelopment(“R&D”)centers;andmultinationalcompaniesshallbesupportedinestablishingjointR&Dcenterstogetherwithenterprises,scientificresearchinstitutions,andcollegesanduniversitiesinthisCitytojointlyconducttechnologyR&Dandindustrialapplications.ThoseestablishingR&DCentersshallenjoyrelevantpolicysupport.第十六条外国投资者投 资市及区（市）县重点发展产 业内的项目，市及区（市）县 人民政府可以在法定权限范围 内制定相关费用减免、用地指 标保障等鼓励措施。第十七条市及区（市） 县人民政府应当围绕本行政区 域重点发展产业和外商优势投 资领域完善产业布局，促进相 关配套产业发展，推动产业集 聚，增强外商投资企业竞争 力。Article16Whereaforeigninvestorinvestsinaprojectinakeydevelopmentindustryofthecityordistrict(prefecture)orcounty,thepeople'sgovernmentofthecity,district(prefecture)orcountymay,withinthescopeofitsstatutorypower,developincentivemeasuressuchasreducingorwaivingrelevantfeesandguaranteeinglandusequota.Article17Thepeople'sgovernmentsofthecity,districts(prefectures)andcounties,bycenteringonkeydevelopmentindustriesandadvantageousforeigninvestmentfields,improvetheindustriallayout,promotethedevelopmentofrelevantsupportingindustries,promoteindustrialagglomeration,andenhancethecompetitivenessofforeign-fundedenterprises.第十八条支持外国投资 者通过出资入股、收购股权、 认购可转债、股权置换等方 式，参与我市国有企业改革QArticle18Foreigninvestorsshallbesupportedinparticipatinginthereformofstate-ownedenterprisesinthisCitybymeansofcapitalcontributionforshares,acquisitionofequity,subscriptiontoconvertiblebonds,andequityswap,amongothers.Article
